ORD-03-1194 AN ORDINANCE AUTHORIZING THE EXECUTION OF A RECAPTURE AGREEMENT WITH GERSTAD BUILDERS, INC. FOR THE SANITARY SEWER IMPROVEMENTS ASSOCIATED WITH THE DEVELOPMENT OF AN APPROXIMATELY 100 ACRE PROPERTY LOCATED ON THE NORTH SIDE OF LINCOLN ROAD AND WEST SIDE OF CHAPEL HILL ROAD IN THE CITY OF MCHENRY, ILLINOIS WHEREAS, Gerstad Builders, Inc. ("GERSTAD") is the developer of approximately one hundred (100) acres, generally located on the north side of Lincoln Road and the west side of Chapel Hill Road and commonly known as Liberty Trails Subdivision, in the City of McHenry, Illinois; and WHEREAS, GERSTAD constructed sanitary sewer improvements upon the understanding that the City of McHenry, an Illinois Municipal Corporation ("CITY') would provide by appropriate agreement to recapture an equitable portion of the cost thereof from other lands which will benefit therefrom; and WHEREAS, the terms and conditions relating thereto were incorporated in the Annexation Agreement dated July 5, 2000 between the CITY and First Midwest Bank, N.A., successor in interest to McHenry State Bank, not individually but as trustee under a trust agreement dated December 23, 1997, and known as Trust No. 13255 ("FIRST MIDWEST BANK"). NOW, THEREFORE, BE IT ORDAINED BY THE MAYOR AND CITY COUNCIL OF THE CITY OF MCHENRY, MCHENRY COUNTY, ILLINOIS AS FOLLOWS: SECTION 1: The Recapture Agreement, bearing the date of October 6, 2003 between the CITY and GERSTAD, be and the same is hereby approved. A complete and accurate copy of said Recapture Agreement, labeled "Liberty Trails Sanitary Sewer Recapture Agreement', is attached to this Ordinance and incorporated herein by reference. SECTION 2: The Mayor and City Clerk are hereby authorized to affix their signatures as Mayor and City Clerk to said recapture agreement for the uses and purposes therein set forth. SECTION 3: All Ordinance or parts thereof in conflict with the terms and provisions hereof are hereby repealed to the extent of such conflict. SECTION 4: This Ordinance shall be published in pamphlet form by and under the authority of the corporate authorities of the City of McHenry, McHenry County, Illinois. SECTION 5: This Ordinance shall be in full force and effect from and after its passage, approval, and publication in pamphlet form as provided by law. PASSED THIS 6TH DAY OF OCTOBER , 2003 AYES: BOLGER, GLAB, PETERSON, CONDON NAYS: LOW, MURGATROYD, WIMMER ABSTAINED: NONE NONE ABSENT: NONE NOT VOTING: APPROVED THIS 6TH DAY OF nr.TnRFR , 2003 ATTEST: CI RK AYO R 2 LIBERTY TRAILS SANITARY SEWER RECAPTURE AGREEMENT This Agreement is made at McHenry, Illinois, as of this 6T" day of October, 2003, between the CITY OF MCHENRY, ILLINOIS, an Illinois municipal corporation (the "CITY") and GERSTAD BUILDERS, INC., a corporation authorized to do business in the State of Illinois ("GERSTAD"). WHEREAS, Wintrust No. 1564 is the legal owner and GERSTAD is the developer and the successor in interest of Trust No. 1564 of one hundred (100) acres of land, more or less, situated on the north side of Lincoln Road and the west side of Chapel Hill Road. The Lincoln Road frontage is approximately 680 feet and commences approximately 2630 feet west of the intersection of Chapel Hill Road and Lincoln Road. The frontage on Chapel Hill Road is comprised of approximately 82.43 feet and commences approximately 1265 feet north of the intersection of Chapel Hill Road and Lincoln Road in the City of McHenry, Illinois; and WHEREAS, First Midwest Bank, N.A., successor in interest to McHenry State Bank, not individually but as trustee under a trust agreement dated December 23, 1997, and known as Trust No. 13255 ("FIRST MIDWEST BANK") and the CITY entered into a written Annexation Agreement dated July 5, 2000; and WHEREAS, GERSTAD is developing the approximately one hundred (100) acres of land as a subdivision under the designation "Liberty Trails Subdivision; and WHEREAS, GERSTAD'S land was not served by a municipal sanitary sewer system prior to annexation to the CITY and the CITY requested GERSTAD to provide a municipal sanitary sewer system; and WHEREAS, the CITY determined, upon advice and recommendation of its City Engineers, that it was in the best interests of the CITY that any municipal sanitary sewer system to serve the Liberty Trails Subdivision be designed, constructed and routed in such a manner as to be capable of serving a larger area of land, part of which presently lies within the CITY limits and the remainder of which lies in such relation to the CITY limits that it may be annexed to the CITY in the future, pursuant to then existing law and pursuant to such action as the Corporate Authorities of the CITY, in their discretion, may wish to take from time to time; and WHEREAS, the CITY was unable to provide a municipal sanitary sewer system because of lack of funds for this purpose; and WHEREAS, the construction of the sanitary sewer system was completed by GERSTAD at its own expense. NOW, THEREFORE, IT IS HEREBY ORDAINED by the Mayor and City Council of the City of McHenry, County of McHenry, Illinois as follows: SECTION 1: In accordance with Paragraph 13, PUBLIC IMPROVEMENT REIMBURSEMENT, of the Annexation Agreement and in order to effect a fair and equitable allocation of the entire cost of the LIBERTY TRAILS Sewer Extension between GERSTAD and others who might be benefited in the future, it is hereby determined that GERSTAD installed sanitary sewer improvements for a total construction cost of $485,467.41 and shall be entitled to recover the aggregate principal sum of $285,366.43 as set forth in Exhibit "A", attached hereto and incorporated herein by reference, together with interest on the unpaid balance thereof at a rate of nine (9%) per annum, compounded, from the date of this Agreement, not to exceed ten (10) years from the date of the Annexation Agreement (July 5, 2010) from the Sanitary Sewer Benefited Areas. SECTION 2: Said Sanitary Sewer Benefited Areas are described on Exhibit "B" attached hereto and incorporated herein by reference. The sanitary sewer benefited areas are divided among three (3) Areas, marked Areas 1, 2 and 3 respectively. Area 1, with a total construction cost of $381,319.21 shall pay a total recapture cost of $268,723.33 or $1,114.48/acre. Area 2, with a total construction cost of $48,083.50 shall pay a total recapture cost of $4,440 or $1,194.67/acre and Area 3, with a total construction cost of $56,064.70 shall pay a total recapture cost of $12,203.10 or $1,215.35/acre. Said Sanitary Sewer Benefited Areas are depicted on Group Exhibit "C" which is a map of said Areas 1, 2 and 3 attached hereto and incorporated herein by reference. The sum collected shall be paid to GERSTAD after deduction of two percent (2%) for administrative charges due to the CITY. SECTION 3: The CITY shall not issue any sewer or water connection permits to the developers of Areas 1-3 until the Benefited Property owners either pays the reimbursement costs set forth herein or adequately assures the CITY that the payment will be made. SECTION 4: The CITY will use its best efforts to collect the costs provided herein from the Benefited Property owners but shall not be liable to GERSTAD if the CITY is, for any reason, unable to collect said costs. The CITY'S liability to reimburse GERSTAD shall be limited to payment from funds actually collected from the Benefited Property owners. GERSTAD shall reimburse and indemnify the CITY for all costs, engineering and attorney's fees and liability incurred by the City with regard to the drafting and implementation of this Agreement or defense thereof. SECTION 5: This Agreement between GERSTAD and the CITY may be amended by the parties from time to time without the consent of any other person or corporation owning land in the area to be served or paying connection fees after the effective date hereof. SECTION 6: This Agreement terminates upon the earlier of July 5, 2020 or upon reimbursement having been fully paid by the benefited property owners referenced herein. SECTION 7: If any provisions of this Agreement, or the application of a provision to any person or circumstances, shall be held invalid, the remainder of this Agreement, or the application of a provision to persons or circumstances other than those as to which is held invalid, shall not affected. SECTION 8: This Agreement shall be valid and binding for twenty (20) years from the date of the Annexation Agreement or July 5, 2020. 2 WHEREFORE, the parties hereto have set their hands this _�L"day of , 2003.
