In accordance with Section 3 of the above -described Ordinance,
the City Engineer does herewith find that the total costs incurred
by Amoco Oil Company for the sewer extensions allowable under the
terms and provisions of the above -described Ordinance to be
$489,409.86.
That after subtracting $1,228.28 from the total costs of the
project (non -recoverable costs attributable to Amoco Oil Company's
ownership of 5 acres benefitted by said sewer extension), the
undersigned finds that Amoco Oil Company is entitled to recover an
aggregate principal sum of $488,181.58 or $245.97 for each acre to
be connected for the use, benefit and purposes as specified in said
Ordinance.

IN REGARD TO THE CONSTRUCTION OF THE
BULL VALLEY ROAD - AMOCO OIL COMPANY
EXTENSION OF THE
MUNICIPAL SEWER SYSTEM OF THE
CITY OF McHENRY, ILLINOIS
WHEREAS, AMOCO OIL COMPANY (AMOCO), a corporation authorized
to do business in Illinois, owns or within the past five (5) years
has owned f ive ( 5 ) acres of land, more or less, situated at the
Southwest corner of Crystal Lake Road and Bull Valley Road, in the
City of McHenry (CITY); and
WHEREAS, AMOCO has developed and is now developing its land as
a subdivision under the designation "Amoco M-1 Subdivision"; and
WHEREAS, AMOCO's land was not served by a sanitary sewer
system prior to annexation to CITY and CITY requested AMOCO to
provide municipal sanitary sewer; and
WHEREAS, CITY determined, upon advice and recommendation of
its City Engineers that it was in the best interests of the
community that any sanitary sewer system to serve Amoco M-1
Subdivision be designed, constructed, and routed in such manner as
to be capable of serving a larger area of land, part of which
presently lies within the CITY limits and the remainder of which
lies in such relation to the CITY limits that it may be annexed to
the CITY in the future, pursuant to then existing law and pursuant
to such action as the Corporate Authorities of the CITY, in their

discretion, may wish to take from time to time; and
WHEREAS, CITY was unable to provide a sanitary sewer system
because of lack of funds for this purpose; and
WHEREAS, AMOCO offered to construct a sanitary sewer system
(AMOCO Extension) upon the understanding that CITY would provide by
appropriate ordinance and related procedures for AMOCO to recapture
an equitable portion of the cost thereof from other lands which
will benefit therefrom upon annexation of those lands, to the CITY
or connection thereof to said AMOCO Extension, whichever shall
first occur; and
WHEREAS, CITY has accepted the above offer, and the terms and
conditions relating thereto were incorporated in the Annexation
Agreement dated October 2, 1989, between AMOCO and CITY; and
WHEREAS, the construction of the AMOCO Extension has begun and
it is possible that it will be fully completed by AMOCO at its own
expense by December 31, 1992.
NOW, THEREFORE, IT IS HEREBY ORDAINED by the Mayor and City
Council of the City of McHenry, County of McHenry, Illinois, that
AMOCO SEWER EXTENSION
SECTION 1: The AMOCO Sewer Extension to be completed by
AMOCO shall be substantially in accordance with the Annexation
Agreement and with the plans and specifications previously approved
by the CITY Engineer which are on file in the Office of the CITY
Clerk.
SECTION 2: The entire cost of construction of the AMOCO

Sewer Extension (including, without limitation, costs of easements
and rights -of -way and all legal and engineering fees and expenses,
but excluding all costs relating to lateral sewer within AMOCO M-1
Subdivision connected to said sewer extensions solely for the
purpose of providing service within the subdivision) has been
estimated by CITY to be $472,685.00, as set forth in Exhibit A
attached hereto and incorporated herein by reference.
SECTION 3: The CITY and AMOCO acknowledge that the
recapture figure of $472,685.00 is an estimate of expenses incurred
by AMOCO. Within ninety (90) days of AMOCO's completion of the
sewer project it shall request the CITY to accept the sewer
extension at which time AMOCO will submit to the CITY proof of its
actual obligations and expenditures incurred to complete the sewer
extension. The total recapture amount shall then be recalculated
by the City Engineer. If the per acre recapture amount differs
from that set forth herein as determined by the City Engineer, the
City Engineer shall file a Certificate of Amendment to this
Ordinance setting forth the revised per acre recapture amount which
shall be binding upon all parties herein as well as the sewer
benefit areas.
SECTION 4: If a Certificate of Amendment is filed by the
City Engineer under the terms of Section 3 after the CITY has
collected recapture monies under the terms of this Ordinance, AMOCO
shall return to the CITY any excess monies received if the per acre
recapture fee is less than originally estimated to be refunded to
the parties who made recapture payment and the CITY shall make

reasonable efforts to collect any deficiency owed to AMOCO for the
parties who made recapture payment if the recapture fee is more
than originally estimated.
SECTION 5: In accordance with the provisions of Paragraph
12 of the Annexation Agreement and in order to effect a fair and
equitable allocation of the entire cost of the AMOCO Sewer
Extensions between AMOCO and others who might be benefitted in the
future, it is hereby determined that AMOCO shall be entitled to
recover the aggregate principal sum of $471,497.65 (being 100% of
the entire cost of said extension minus the portion of the total
cost allocable to the five (5) acres of land owned by AMOCO in the
amount of $1,187.35), together with interest on the unpaid balance
thereof at the rate of ten percent (10%) per annum from the date
that said facilities are accepted by the CITY, (minus two percent
(2%) of said principal and interest which shall be retained by CITY
as an administrative fee) from the Sewer Benefit Areas described in
Group Exhibit B attached hereto and incorporated herein by
reference, but only from the proceeds of recapture fees collected
from time to time as hereinafter provided. Said Sewer Benefit
Areas are depicted on Group Exhibit C which is a map of said areas
attached hereto and incorporated herein by reference.
SECTION 6: Before the Sewer Benefit Areas or any part
thereof, shall be connected, directly or indirectly, to the AMOCO
Sewer Extensions, the applicant for sewer connection shall pay to
the CITY the sewer recapture fee of $237.47 for each acre to be
connected for the use, benefit and purposes hereinafter specified,

together with the interest charge thereon for every month or any
part of a month thereafter to and including the month in which the
sewer recapture fee and all interest charges are paid in full.
Fractional acres shall be charged a pro rata share of the
prescribed sewer recapture fee and interest charges.
The CITY shall pay over to AMOCO all recapture fees and
interest charges less two percent (2%). thereof which shall be
retained by CITY as an administrative fee within sixty (60) days
thereof until AMOCO shall have recovered the aggregate sum of
$471,497.65 in recapture fees, together with the interest charges
thereon as hereinabove provided, and all sewer recapture fees and
interest charges thereafter received by the CITY shall be deposited
to the Sewer Fund of CITY for appropriate uses and purposes.
GENERAL
SECTION 7: The proper officer of the CITY shall make all
reasonable efforts to make the collections of Sewer Recapture Fees
but shall not be obligated to bring any suit to enforce the
collection of same nor shall the CITY or any of its officials be
liable in any manner for failure to make the collections.
Recapture payments by the City shall be made to Amoco Oil Company
Service Station No. 2368 Recapture Agreement.
SECTION 8: Nothing herein shall limit or in any way affect
the rights of the CITY to collect other fees and charges pursuant
to CITY ordinances, resolutions, motion or policies including, but
not limited to, sewer connection charges, as the sewer recapture
fees provided for herein are in addition to other CITY fees and

charges.
SECTION 9:
Upon the completion of the installation of the
sewer systems and upon the acceptance of the work by the CITY
Engineers, the same will become the property of the CITY.
Thereafter, the CITY without cost to AMOCO shall maintain and
repair the sewer systems pursuant to CITY policies and ordinances
in effect from time to time, subject only to the one (1) year
guaranty and bond required by the Subdivision Control Ordinance of
the CITY which are applicable to AMOCO.
SECTION 10: AMOCO has approved this ordinance as being in
conformity with the undertaking between itself and CITY relating to
the construction of the sewer systems and has agreed, upon adoption
of this ordinance, to execute a release to the CITY of any right to
reimbursement in connection thereto retaining its rights, however,
as set forth in this ordinance.
SECTION 11: This ordinance constitutes a contract between
AMOCO and the CITY and may be amended by the parties from time to
time without the consent of any other person or corporation owning
land in the area to be served or paying connection fees after the
date of the enactment hereof.
SECTION 12: If any provisions of this ordinance, or the
application of a provision to any person or circumstances, shall be
held invalid, the remainder of this ordinance or the application of
a provision to persons or circumstances other than those as to
which is held invalid, shall not be affected.
SECTION 13: The CITY shall have no obligation under the

terms of this Ordinance until a copy has been recorded by AMOCO
with the McHenry County Recorder of Deeds.
SECTION 14: This Ordinance shall be valid and binding for
a term of ten (10 ) years from the date of recording after which the
CITY shall no longer have any obligation hereunder to collect any
sewer recapture fees.
SECTION 15: AMOCO hereby agrees -to and shall indemnify,
defend and hold harmless CITY, its officers, agents and employees
from and against any and all claims, debts, charges, actions,
suits, proceedings, costs, damages, loss, liabilities and expenses,
and also including court costs, deposition costs and attorneys' and
witness' fees, that CITY shall or may at any time sustain or be put
to by reason of claims of third parties relating to this Recapture
Agreement irrespective of whether such claims, actions and
proceedings are rightfully or wrongfully made, brought or filed
against the CITY. The CITY shall promptly give notice to AMOCO of
such claims, debts, etc. AMOCO shall have the right at its sole
expense, to defend any action, suit or proceeding brought against
the CITY in connection with this Recapture Agreement and the CITY,
its officers, employees and agents shall cooperate with AMOCO as
reasonably requested by AMOCO in connection with the defense of
such actions, suits or proceedings. AMOCO may elect to waive any
or all of its rights to recapture with respect to any Benefiting
Properties, or other rights pursuant to this Agreement, in
settlement of any claims, litigation or dispute.

CITY for all purposes hereunder is 333 South Green Street, McHenry,
Illinois 60050. Such addresses may be changed by either party by
written notice to the other.
SECTION 17: All ordinances or parts of ordinances in
conflict with this ordinance are hereby repealed..
SECTION 18: This ordinance shall be in full force and
effect from and after its passage, approval, and publication.
