6. Individual Action Item Agenda.
A. Motion to authorize the proposed Continuation of the effective dates of the Mayor’s March 11,
2020 Proclamation of Local Disaster Emergency for the City of McHenry to terminate at the end
of the day on April 20, 2020;
B. Authorization for the Mayor to execute an Easement and Maintenance Agreement between the
City of McHenry, McHenry Public Library District, Reese Real Estate, LLC, and Chicago Title
Land Trust Company for the maintenance of sanitary sewer main along the eastern property line
adjacent to the State Right of Way for Illinois Route 31;
C. Motion to adopt a Resolution, designating the parcels at 1202 N. Riverside Drive to a City Park,
referred to as Miller Point Park;
D. Motion to approve the Mayor’s Execution of a 3-year Revocable License Agreement for
Motorized and Non-motorized Boat Rentals at Miller Point between the City of McHenry and
All Marine Retro Rentals; and, authorization to include an expenditure of $40,000 in the FY20/21
Budget, Parks Developer Donations Fund, for the implementation of piers, a sand launch area
and water and electric to a concession pad site.

2.2020 Zoning Map Update w/revisions
Illinois State Statutes require the City's zoning map be published no later than March 31s'of each
year to accurately reflect all annexations, zoning changes and subdivisions approved by the City
during the previous calendar year. To comply with the statutes, a resolution has been prepared
which authorizes the Deputy Clerk to make any necessary changes and to publish a notice that
the map has been updated. Maps will be distributed to the City Council at the meeting.
Therefore, if the City Council concurs, it is recommended a motion be made to approve the
attached Resolution Authorizing the Deputy Clerk to Update the Official Zoning Map and to
publish a Notice of the Zoning Map Update.

Resolution 20-
RESOLUTION AUTHORIZING THE DEPUTY CLERK TO UPDATE THE OFFICIAL ZONING MAP AND
TO PUBLISH A NOTICE OF THE ZONING MAP UPDATE
WHEREAS, the City of McHenry, McHenry County, Illinois, is a home rule municipality as
contemplated under Article VII, Section 6, of the Constitution of the State of Illinois, and the
passage of this Resolution constitutes an exercise of the City's home rule powers and functions
as granted in the Constitution of the State of Illinois; and
WHEREAS, 65 ILCS 5/11-13-19 requires the Corporate Authorities to cause to be
published, no later than March 315t of each year, a map clearly showing the existing zoning
uses, divisions, restrictions, regulations and classifications of the municipality for the preceding
calendar year; and
WHEREAS, said map shall be the Official Zoning Map of the City.
NOW, THEREFORE, BE IT RESOLVED by the Mayor and Aldermen of the City of McHenry,
McHenry County, Illinois, as follows:
1. That the Deputy Clerk is hereby authorized to update the Official Zoning Map of the City
to show all existing zoning uses, divisions, restrictions, regulations and classifications in
effect as of December 31, 2019; and
2.The Deputy City Clerk is directed to publish said map, in the manner Ordinances of the
City are published; and
3. That the Deputy Clerk is further directed to publish a Public Notice in the Northwest
Herald announcing that the Official Zoning Map has been updated as required by the
Illinois Municipal Code and said Notice shall read as follows:
Notice is hereby given that the Official Zoning Map of the City of McHenry, as
required by 65 ILCS 5/11-13-19, has been updated and said map has been
published, in the manner Ordinances of the City are published. Said Official
Zoning Map is available for public inspection in the City of McHenry Municipal
Center, 333 S. Green St., McHenry, IL 60050 during regular business hours.

RE: Ordinance Amending City Code 6-5D-2; Unlawful Possession of Cannabis
ATT: Proposed Ordinance
Item Summary:
Attached Council will find an Ordinance that amends City Code 6-513-2; Unlawful Possession of
Cannabis in that it specifically removes Section 6-5D-2-B-3 (unlawful possession of cannabis in a motor
vehicle) because it is a reportable offense therefore not allowable under Home Rule authority. Staff is
present to answer any questions.
Background:
In July of 2019 the Illinois Governor signed new legislation into law which established the Cannabis
Regulation and Tax Act known as Public Act 101-0027. Within this Act the consumption, purchase and
possession of cannabis for adults twenty-one years of age or older became legal on January 11t, 2020,
when purchased,possessed and consumed in accordance with the rules established in the Act.
On December 16th, 2019, Council passed an Ordinance (6-513-2) that identified the Unlawful Possession
of Cannabis within the City of McHenry. Specifically Section 6-513-2-13-3 of the ordinance makes it
unlawful for any driver or passenger to be in possession of cannabis within any area of a vehicle on a City
road or highway except when the cannabis is stored in a sealed, odor-proof, child-resistant cannabis
container.
Analysis:
Staff has confirmed through legal counsel that Section 6-513-2-13-3 is an offense reportable to the Illinois
Secretary of State and therefore cannot be enforced through local ordinance. As a result staff is
requesting Council's authorization to remove Section 6-513-2-13-3 from the City Code. With such any
future violations of the illegal possession of cannabis in a motor vehicle will be enforced by State Statute
under 625 ILCS 5/11-502.15.
Recommendation:
Therefore, if Council concurs, it is recommended that a motion be made to adopt the attached
Ordinance repealing Title 6; Public Safety, Chapter 5; Offenses, Article D; Drug Paraphernalia;
Possession of Cannabis, Section 2; Unlawful Possession of Cannabis, Paragraph 3, of the City of
McHenry's Municipal Code.

WHEREAS, the City of McHenry, McHenry County, Illinois, ("City") is a home rule
municipality as contemplated under Article VII, Section 6,of the Constitution of the State of Illinois,
and the passage of this Ordinance constitutes an exercise of the City's home rule powers and
functions as granted in the Constitution of the State of Illinois; and
WHEREAS,paragraph 3 of City Ordinance has been found to be a reportable offense through
the Secretary of State and therefore not enforceable by local ordinance; and
NOW, THEREFORE, BE IT ORDAINED by the CITY COUNCIL of the CITY OF
McHENRY, McHenry County, Illinois, as follows:
SECTION 1: Title 6; Public Safety, Chapter 5; Offenses, Article D; Drug Paraphernalia;
Possession of Cannabis, Section 2;Unlawful Possession of Cannabis,Paragraph 3,which currently
reads as follows, is hereby repealed, in its entirety:
6-5D-2-3: UNLAWFUL POSSESSION OF CANNABIS; UNLAWFUL
CONSUMPTION OF CANNABIS:
3. For any driver or passenger to be in possession of cannabis within any area of a
vehicle on a City road or highway except when the cannabis is stored in a sealed,odor-
proof,child-resistant cannabis container.
SECTION 2: If any section, paragraph, subdivision, clause, sentence or provision of this
Ordinance shall be adjudged by any Court of competent jurisdiction to be invalid, such judgment
shall not affect,impair,invalidate or nullify the remainder thereof,which remainder shall remain and
continue in full force and effect.
SECTION 3:All ordinances or parts of ordinances in conflict herewith are hereby repealed to
the extent of such conflict.
SECTION 4: This Ordinance shall be in full force and effect upon its passage and approval.

Thorntons is constructing a new facility at the northwest corner of Chapel Hill Road and Illinois
Route 120. As part of the plan review process and shifting of the building at the northwest corner
various easements are required to be moved and relocated. Attached are a Plat of Easement
depicting the locations of the new easements and also attached is a Plat of Vacation depicting
the existing easements proposed to be vacated.
If the City Council concurs with staff it is recommended the attached Ordinance for Plat of

Municipal Utility Easements exist on part of Lots 1 and 2 in Heidner Properties Subdivision, a
Subdivision of part of the Southeast Quarter of Section 25 and the Northeast quarter of Section
36, all in Township 45 North, Range 8 East of the Third Principal Meridian, according to the Plat
thereof recorded January 3, 2018, as Document No. 2018110000272, in McHenry County, Illinois.
WHEREAS, due to the planned construction of a new facility at the northwest corner of
Chapel Hill Road, and as part of the plan review process and shifting of the building at the
northwest corner, various easements are required to be moved and relocated.
NOW,THEREFORE, BE IT ORDAINED BY THE MAYOR AND CITY COUNCIL OF THE CITY OF

Lease Agreement w Charles Schaefer(Curran Road Property)
Following are recommendations to renew two of the tenant farm lease agreements for properties owned by
the City of McHenry. The term for each lease is one-year commencing on March 1,2020,to February 28,
2021. Staff proposes to freeze the rent for the upcoming year. Despite the average land lease rate of$212
per acre for McHenry County, the corn yield prices from the acreage has decreased dramatically over the
past couple of years.
Laufer Lease(Levy PropeM). Attached is a lease agreement with Mr. Laufer to farm approximately 24.5
acres. Staff proposes a price per acre of$123,for a total of$3,014 for the term of the lease.
Bauer Family Lease. Attached is a lease agreement to farm approximately 58-acres with Kevin Bauer and
his mother Georgia Bauer. The city first leased this property to the Bauer Family in 2015. Staff proposes
a price per acre of$182,for an annual payment of$10,556.
Schaefer Lease (Riverside Hollow Property). Attached is a lease agreement with Mr. Schaefer to farm
approximately 12 acres. Staff proposes a price per acre of$110, for a total of$1,320 for the term of the
lease.
Schaefer Lease (Petersen Ballfield Annex Property). Attached is a lease agreement with Mr. Schaefer to
farm approximately 20 acres. Staff proposes a price per acre of$123, for a total of$2,460 for the term of
the lease.
Schaefer Lease (Curran Road Property). Attached is a lease agreement with Mr. Schaefer to farm
approximately 9 acres. Staff proposes a total of$500 for the term of the lease. The City is honoring a
previous lease that was in place.
If Council concurs, it is recommended to consider a motion to enter into the attached lease
agreements as presented.

BAUER LEASE AGREEMENT
This Lease Agreement made and entered into this _ day of March 2020, by and between the
City of McHenry, 333 S. Green Street, McHenry, Illinois ("Lessor"), and Kevin E. Bauer, 4803 Barnard
Mill Road and Steven R.Bauer("Lessees").
RECITALS
WHEREAS, Lessor is the legal owner of the land, being a portion of the Petersen Farm in
McHenry, Illinois, for farming purposes only containing approximately 58 acres as described in the
attached site plan,Exhibit A(the"Premises").
WHEREAS, Lessor wishes to lease to Lessee, and the Lessee wishes to lease from Lessor, the
Premises.
Now,therefore, in exchange for the mutual covenants and conditions expressed herein,the receipt
and sufficiency of which is hereby acknowledged,the parties hereto agree as follows:
I. Term. This Lease Agreement shall commence on March 1, 2020 and end on February 28,
2021. Lessee covenants with Lessor, that at the expiration of the term of this Lease Agreement, he will
yield up the possession of the Premises to Lessor without further demand or notice, in as good order and
condition as when this Lease Agreement was entered upon by Lessee, ordinary wear excepted.
H. Rent. Lessee agrees to pay Lessor Rent in the amount of$182 per acre for a total of$10,556,
payable on November 1,2020. In the event any payment of Rent is received by Lessor more than five(5)
days after such Rent payment is due, such payment shall include a late payment penalty in an amount
equal to five percent(5%)of the Rent due each day thereafter that such payment is delinquent.
III. Use of the Premises. Lessee may use the Premises for farming purposes only.
IV. Obligations of Lessee. It is further expressly understood and agreed between the parties
hereto,as follows:
1.Lessee shall not to burn anything on said Premises.
2. Lessee shall use the premises solely for agricultural purposes. Animals and livestock
will not be permitted on said premises.
3. Lessee shall preserve and keep the trees, vines and shrubbery that now are or shall be
planted on the Premises, from injury by ploughing, or from animals and further, to keep all necessary
ditches and drains ploughed and cleaned out during the continuance of this Lease Agreement.
4. Lessee shall keep said Premises, including the hedges and fences, in proper and
necessary repair. If Lessee fails to do so, Lessor may enter upon the Premises and make all proper and
necessary repairs, and the cost thereof shall be additional rent, due and owing from Lessee to Lessor
immediately.
5. If Lessee shall fail to cultivate said Premises as herein agreed, or shall fail to keep any
of the covenants contained in this Lease Agreement, or shall assign this Lease Agreement, or shall sublet
said Premises, or any part thereof, without the prior written consent of Lessor, then this Lease Agreement
shall, at the election of the Lessor, be null and void, and Lessor, or his legal representative, shall have the
right to take possession of said Premises, using such force as may be necessary, with or without process
of law; and all damage growing out of a failure to perform any of the covenants of this Lease Agreement
shall be added to and become a part of the rent,recoverable as rent.
6. Lessor reserves the right for itself, its employees, and its officers assigns or respective
buyers to enter upon said Premises at any time, for the purpose of viewing same or making repairs or
improvements thereon.
7. Lessor reserves the right to terminate this lease without notice to Lessee relative to all
or part of the Premises for any reason whatsoever. Said portion of the land removed from this Lease
Agreement will result in reduced Rent on a prorated basis. If there are crops on the Premises being
removed from this Lease Agreement, Lessor shall pay Lessee the fair market value per bushel of said
crops as of the date of said crops removal as established by the Stade Grain Company located in Marengo,
Illinois, or a similar grain company located in McHenry County, Illinois, as agreed to by the parties. If
the Lessor and Lessee are unable to reach an agreement as to the compensation due Lessee, each party
will secure a representative who will be designated to resolve any disputes. The decision of the
representatives will be final and binding on both parties. Failure of the representatives to agree shall
qualify either party to file suit to resolve the issues.
8. Lessee agrees to follow present soil conservation practices as required for by the Soil
Conservation Service for McHenry County to control soil loss.
9. Lessee agrees not to use any hazardous materials on said Premises. If Lessee does use
any hazardous materials, the cost of clean up will be paid by the Lessee. Lessor may initially pay, at its
discretion for any clean up; however; Lessee shall reimburse Lessor for any costs incurred in the clean up
process. Any damage stemming from use of hazardous materials shall be construed as a material breach
of this lease and shall be added to and become part of the rent, recoverable as rent.
V. Entire Agreement. This Lease Agreement contains the entire understanding between the
parties and supercedes any prior understandings or agreements between them respecting the subject
matter. No representations, arrangements, or understandings except those fully expressed herein, are, or
shall be binding upon the parties. No changes, alterations, modifications, additions or qualifications to
the terms of this lease shall be made or be binding unless made in writing and signed by each of the
parties.
VI. Attorneys Fees. The prevailing party in any action or proceeding to enforce the terms of this
Lease Agreement shall be entitled to receive its reasonable attorneys' fees and other reasonable
enforcement costs and expenses from the non-prevailing party.
VII. Hold Harmless. The Lessee agrees to indemnify, defend, and hold the Lessor harmless from
any and all liabilities, claims, demands, suits, damages, actions, recoveries, judgments and expenses
including court costs, attorney's fee's, and costs of investigation) resulting from a breach by Lessee of
any provision contained in this Lease Agreement, resulting in any way from Lessee's occupancy of the
Premises, or arising from any personal injury occurring on the Premises during the term of this Lease

Agreement. The provisions, undertakings, and indemnifications set out in this Section 7 shall survive the
termination of this Lease Agreement.
VIII.Notices. All notices,requests and other writings required under this Lease Agreement
including any notices of renewal, or termination rights)must be in writing and shall be deemed validly
given upon the earlier of(i)actual receipt or(ii)the second business day after the date posted if sent by

Exhibit A(the"Premises").
WHEREAS, Lessor wishes to lease to Lessee, and the Lessee wishes to lease from Lessor, the
Premises.
Now,therefore, in exchange for the mutual covenants and conditions expressed herein,the receipt
and sufficiency of which is hereby acknowledged,the parties hereto agree as follows:
I. Term. This Lease Agreement shall commence on the 4' day of March 2019, and end on the
29t' day of February 2020. Lessee covenants with Lessor, that at the expiration of the term of this Lease

VI. Attorneys Fees. The prevailing party in any action or proceeding to enforce the terms of this
Lease Agreement shall be entitled to receive its reasonable attorneys' fees and other reasonable
enforcement costs and expenses from the non-prevailing party.
VII. Hold Harmless. The Lessee agrees to indemnify, defend, and hold the Lessor harmless from
any and all liabilities, claims, demands, suits, damages, actions, recoveries, judgments and expenses
including court costs, attorney's fee's, and costs of investigation) resulting from a breach by Lessee of
any provision contained in this Lease Agreement, resulting in any way from Lessee's occupancy of the
Premises, or arising from any personal injury occurring on the Premises during the term of this Lease
Agreement. The provisions, undertakings, and indemnifications set out in this Section 7 shall survive the
termination of this Lease Agreement.

SCHAEFER LEASE AGREEMENT
This Lease Agreement made and entered into this _ day of March 2020, by and between the
City of McHenry, 333 S. Green Street,McHenry,Illinois ("Lessor"),and Charles Schaefer("Lessee").
RECITALS
WHEREAS, Lessor is the legal owner of the land, being a portion of the Riverside Hollow farm
property in McHenry, Illinois, for farming purposes only containing approximately 12 acres as described
in the attached site plan,Exhibit A(the"Premises").
WHEREAS, Lessor wishes to lease to Lessee, and the Lessee wishes to lease from Lessor, the
Premises.
Now,therefore, in exchange for the mutual covenants and conditions expressed herein,the receipt
and sufficiency of which is hereby acknowledged,the parties hereto agree as follows:
1. Term. This Lease Agreement shall commence on March 1, 2020 and end on February 28,
2021. Lessee covenants with Lessor, that at the expiration of the term of this Lease Agreement, he will
yield up the possession of the Premises to Lessor without further demand or notice, in as good order and
condition as when this Lease Agreement was entered upon by Lessee, ordinary wear excepted.
11. Rent. Lessee agrees to pay Lessor Rent in the amount of$110 per acre for a total of$1,320,
payable on November 1, 2020. In the event any payment of Rent is received by Lessor more than five(5)
days after such Rent payment is due, such payment shall include a late payment penalty in an amount
equal to five percent(5%) of the Rent due each day thereafter that such payment is delinquent.
111. Use of the Premises. Lessee may use the Premises for farming purposes only.
IV. Obligations of Lessee. It is further expressly understood and agreed between the parties
hereto,as follows:
1. Lessee shall not to burn anything on said Premises.
2. Lessee shall use the premises solely for agricultural purposes. Animals and livestock
will not be permitted on said premises.
3. Lessee shall preserve and keep the trees, vines and shrubbery that now are or shall be
planted on the Premises, from injury by ploughing, or from animals and further, to keep all necessary
ditches and drains ploughed and cleaned out during the continuance of this Lease Agreement.
4. Lessee shall keep said Premises, including the hedges and fences, in proper and
necessary repair. If Lessee fails to do so, Lessor may enter upon the Premises and make all proper and
necessary repairs, and the cost thereof shall be additional rent, due and owing from Lessee to Lessor
immediately.
5. If Lessee shall fail to cultivate said Premises as herein agreed, or shall fail to keep any
of the covenants contained in this Lease Agreement, or shall assign this Lease Agreement, or shall sublet
said Premises, or any part thereof, without the prior written consent of Lessor,then this Lease Agreement
shall, at the election of the Lessor, be null and void, and Lessor, or his legal representative, shall have the
right to take possession of said Premises, using such force as may be necessary, with or without process
of law; and all damage growing out of a failure to perform any of the covenants of this Lease Agreement
shall be added to and become a part of the rent,recoverable as rent.
6. Lessor reserves the right for itself, its employees, and its officers assigns or respective
buyers to enter upon said Premises at any time, for the purpose of viewing same or making repairs or
improvements thereon.
7. Lessor reserves the right to terminate this lease without notice to Lessee relative to all
or part of the Premises for any reason whatsoever. Said portion of the land removed from this Lease
Agreement will result in reduced Rent on a prorated basis. If there are crops on the Premises being
removed from this Lease Agreement, Lessor shall pay Lessee the fair market value per bushel of said
crops as of the date of said crops removal as established by the Stade Grain Company located in Marengo,
Illinois, or a similar grain company located in McHenry County, Illinois, as agreed to by the parties. If
the Lessor and Lessee are unable to reach an agreement as to the compensation due Lessee, each party
will secure a representative who will be designated to resolve any disputes. The decision of the
representatives will be final and binding on both parties. Failure of the representatives to agree shall
qualify either party to file suit to resolve the issues.
8. Lessee agrees to follow present soil conservation practices as required for by the Soil
Conservation Service for McHenry County to control soil loss.
9. Lessee agrees not to use any hazardous materials on said Premises. If Lessee does use
any hazardous materials, the cost of clean up will be paid by the Lessee. Lessor may initially pay, at its
discretion for any clean up; however; Lessee shall reimburse Lessor for any costs incurred in the clean up
process. Any damage stemming from use of hazardous materials shall be construed as a material breach
of this lease and shall be added to and become part of the rent,recoverable as rent.
V. Entire Agreement. This Lease Agreement contains the entire understanding between the
parties and supercedes any prior understandings or agreements between them respecting the subject
matter. No representations, arrangements, or understandings except those fully expressed herein, are, or
shall be binding upon the parties. No changes, alterations, modifications, additions or qualifications to
the terms of this lease shall be made or be binding unless made in writing and signed by each of the
parties.

ATT: Proposed Intergovernmental Agreement
Item Summary:
Attached Council will find an intergovernmental agreement between the City and the County
which authorizes the McHenry County Sheriff's Marine Unit to conduct Marine Operations at
Miller Riverfront Park through the use of a new building and three (3) piers. Staff is requesting
Council approval to authorize the Mayor to enter into this intergovernmental agreement. Staff is
present to answer any questions Council may have.
Background:
The McHenry County Sheriff's Office is responsible for the patrol and enforcement activities of
the Fox River and Chain of Lakes that fall within McHenry County. Previously the McHenry
County Marine Unit conducted their operations out of a building located at the McHenry Stratton
Lock and Dam, through an agreement with the Illinois Department of Natural Resources. Due to
construction at the Stratton Lock and Dam the Sheriff's Office began to look for alternative sites
to base their Marine Operations out of.
In December Staff met with the Sheriff's to discuss options that the City may have in order to
accommodate the Sheriff's Marine Unit.
Analysis:
The City owns the park and facilities known as the Miller Riverfront Boat Launch located at
2900 Charles Miller Road in McHenry, Illinois abutting the Fox River in the Fox Waterway
Agency's Upper River—Zone B. In addition the City also owns the rights to both piers and boat
slips on the Fox River in the Fox Waterway Agency's Upper River—Zone B.
As Miller Riverfront Park is a large park the City would be capable of constructing a small
building, installing piers and provide ample parking for the Marine Unit to operate out of.
The City of McHenry is dedicated to providing the citizens, businesses and visitors of McHenry with the highest
quality of programs and services in a customer-oriented, efficient and fiscally responsible manner.
Benefits to this partnership include the; installation of 2 public restrooms at no cost to the City,
shared community activities such as boat safety inspections for McHenry Residents, increased
police presence in Miller Riverfront Park, increased police presence in and around the McHenry
Riverwalk and Downtown Business District and the potential for a future collaboration that
would allow the City to assist is waterway enforcement which would increase our presence on
the water.
Staff believes that by collaborating with the McHenry County Sheriffs Office to share resources
we will be able to provide for more efficient government as it relates to the safety of our
waterways. This agreement will allow for a long term plan to address needs of both the City and
the County.
Recommendation:
Therefore, if Council concurs, it is recommended that a motion be made authorizing the
Mayor to execute the attached Intergovernmental Agreement between the City of
McHenry and the County of McHenry relating to the McHenry County Sheriffs Marine
Unit.
INTERGOVERNMENTAL AGREEMENT
BETWEEN THE CITY OF MCHENRY AND THE COUNTY OF MCHENRY
RELATING TO THE MCHENRY COUNTY SHERIFF'S MARINE UNIT
THIS INTERGOVERNMENTAL AGREEMENT (the"Agreement") is made this
day of 2020 by and between the CITY OF MCHENRY, an Illinois
municipal corporation acting by and through its Mayor and City Council (the "City"), and the
COUNTY OF MCHENRY, a body politic and corporate acting by and through its County Board
the "County").
WHEREAS, the McHenry County Sheriff's Marine Unit is responsible for promoting the
safe use of the Fox Waterway by patrolling and enforcing all laws which govern the Fox Waterway
in McHenry County;
WHEREAS, the McHenry County Sheriff's Marine Unit is in the process of relocating its
operations;
WHEREAS, the City owns the park and facilities known as the Miller Riverfront Boat
Launch located at 2900 Charles Miller Road in McHenry, Illinois abutting the Fox River in the
Fox Waterway Agency's Upper River—Zone B (the "Property");
WHEREAS,the City also owns the rights to piers(the"Pier Rights") and the rights to boat
slips(the"Boat Slip Rights")on the Fox River in the Fox Waterway Agency's Upper River—Zone
B and are authorized and available for trading under the U.S. Army Corps of Engineers' Fox River
Chain O'Lakes Pier and Boat Ramp Policy;
WHEREAS, the City desires to ensure the safety of its residents with a greater police
presence on the Property and on the Fox River, including the City's Riverwalk, and to provide
convenient safety inspections to its boating residents;
WHEREAS, the City and the County desire to collaborate and share resources in order to
provide for efficient government;
WHEREAS,the County desires to use the City's Property,two(2)of the City's Pier Rights,
and up to three (3) of the City's Boat Slip Rights for the McHenry County Sheriff s Marine Unit
operations;
WHEREAS, it is the intent of the parties for the McHenry County Sheriffs Marine Unit
operations to commence by parking a temporary office trailer on the Property until a building, to
be agreed upon by the City and the County, may be constructed;
WHEREAS,it is the intent of the parties that the building to be constructed on the Property
shall be approximately 600 to 1,000 square feet and provide interior office space, a restroom, and
storage for the McHenry County Sheriff's Marine Unit and two (2) additional restrooms for the
public which shall be accessible from the exterior(the "Building"); and
WHEREAS,the City and the County are authorized by the terms and provisions of Section
10 of Article VII of the Illinois Constitution and the Intergovernmental Cooperation Act, 5 ILCS
220/1, et seq., to enter into intergovernmental agreements, ventures, and undertakings to perform
jointly any governmental purpose or undertaking any of them could do separately.
NOW, THEREFORE, in consideration of the mutual covenants contained herein, the City
and the County agree as follows:

1.Recitals. The above recitals are an integral part of this Agreement and are
incorporated herein.
2.Temporary Office Trailer. The County is hereby permitted to locate a temporary
office trailer for the McHenry County Sheriffs Marine Unit on the Property for the lesser of a
period of two (2) years or until such time as the Building has been constructed for such purposes.
The following obligations shall be allocated to the parties:
a.City's Responsibilities:
i. to provide an electrical line to the temporary office trailer; and
ii. to pay all ongoing electricity costs.
b.Cop ty's Responsibilities:
i. to pay for and locate the temporary office trailer in such a manner
that the electrical line will not have to be relocated for the construction of
the Building; and
ii. to pay for all maintenance,repairs, and expenses associated with the
temporary office trailer(except electricity costs as set forth above).
At the termination of two (2) years or when the Building has been constructed, the County shall
remove the temporary office trailer at its own cost and expense.
3. Piers and Boat Slips. The County may install two (2)piers with three(3)boat slips
and gating for the protection of its boats and equipment for the McHenry County Sheriff's Marine
Unit operations(the"County's Piers and Boat Slips")at the Property. The City hereby licenses the
County to use two (2) of its Pier Rights and three (3) of its Boat Slip Rights to accommodate the
County's Piers and Boat Slips. Prior to any installation, the parties shall agree on the location and
all materials for the County's Piers and Boat Slips. The parties understand and agree that the City
is not transferring title in any Pier Rights and/or the Boat Slip Rights to the County but licensing
its rights for the use of the County's Piers and Boat Slips during the term of this Agreement. The
parties further understand and agree that during the term of this Agreement, the City's license set
forth above is exclusive to the County and the City shall not provide right of use to the County's
Piers and Boat Slips to any parties other than the McHenry County Sheriff's Department. The
following obligations shall be allocated to the parties:
a.City's Responsibilities:
i. to pay for and provide an electrical line to the County's Piers and
Boat Slips; and
ii. to pay all ongoing electricity costs.
b.County's Responsibilities:
i. to pay for and install the County's Piers and Boat Slips;
ii. to pay for and apply for all necessary permits and approvals for the
installation of the County's Piers and Boat Slips, including from the U. S.
Army Corps of Engineers; and
iii. to pay for all maintenance,repairs,and expenses associated with the
County's Piers and Boat Slips (except electricity costs as set forth above).
At the termination of this Agreement, the City's license to the County to use any Pier Rights and
Boat Slip Rights shall automatically terminate.
4. Building. The City shall construct a Building on the Property for the McHenry
County Sheriff's Marine Unit operations.

a.Building Plans. No later than July 1, 2020, the County shall submit
construction plans and an estimate of the cost of construction for the Building to
the City's staff. The following Building specifications shall apply:
Between six hundred (600)to one thousand(1,000) square feet;
Must contain interior office space, a restroom, and storage area; and
Must include two (2) public restrooms, which shall be accessible from
the exterior.
The parties shall agree on the location and all materials for the Building. The
following obligations shall be allocated between the parties:
i. City's Responsibilities: to apply for all necessary permits
and approvals for the construction of the Building.
ii. County's Responsibilities: to pay for all plans and
specifications for the Building.
b.Building Construction. Upon approval of the necessary permits, the City
shall construct the Building pursuant to the approved plans. The following
obligations shall be allocated between the parties:
i. City's Responsibilities: to pay for and provide an electrical
line,phone/internet connection, water, and sewer to the Building.
ii. Count s Responsibilities: to reimburse the City for the cost
of construction of the Building(except electricity,water,and sewer costs as
set forth above).
If any change orders arise, the City shall notify the County within two (2) days of
the change order and the County shall approve or deny the change order within two
2)days;however, should the change order be time sensitive or delay construction,
the City shall contact the County within a reasonable amount of time and the
County shall respond within a reasonable amount of time approving or denying the
change order and the City shall not be responsible for any additional costs incurred
due to any delay.
C.Building Maintenance and Repairs. The following obligations shall be
allocated between the parties:
i. City's Responsibilities: to pay all ongoing electricity,
phone/internet, water, and sewer costs.
ii. Coun . 's Responsibilities: to pay for all maintenance,
repairs, and expenses associated with the Building in its entirety(except the
electricity, water, and sewer costs as set forth above).
5. Payment. The County is to deposit with the City the estimated cost of construction
for the Building prior to beginning construction. Payments for the actual cost of construction of
the Building shall be made by the City from the County's funds. Should any change order increase
the estimated cost of construction by more than five percent(5%),the City shall notify the County
and the County shall pay the increased estimated cost of construction to the City within fourteen
14) days.
Upon completion of the construction of the Building, the City shall invoice the County
with the actual costs of construction and provide backup documentation. Should the actual costs

of construction for the Building exceed the amounts the County paid to the City, the County shall
reimburse the City for any additional costs owed within fourteen(14)days. Should the actual costs
of construction for the Building be less than the amounts the County paid to the City,the City shall
return any overage to the County within fourteen (14) days.
6.Term and Termination. This Agreement shall take effect on the date first set forth
above and continue perpetually, until terminated by either party. Either party may terminate this
Agreement for any reason, or no reason at all, upon six (6) months written notice to the non-
terminating party; however, the parties intend for the Agreement to continue for a minimum of
twenty (20) years.
a.City's Termination: Should the City terminate this Agreement prior to the
expiration of twenty(20)years,the County shall transfer,by bill of sales,all right,title and
interest to the Building and the County's Piers and Boat Slips, including all improvements
and personal property, to the City and the City shall reimburse the County its cost paid for
construction of the Building and the County's Piers and Boat Slips, as follows:

bill of sales, all right, title and interest to the Building and the County's Piers and Boat Slips,
including all improvements and personal property, to the City for$1.00.
7.Insurance. The City shall maintain for the duration of the Agreement, at the City's
expense, property insurance on the Property and commercial general liability insurance issued by
a company or companies qualified to do business in the State of Illinois.The County shall maintain
for the duration of the Agreement, at the County's expense, property insurance on the structures,
including, but not limited to the County's Piers and Boat Slips and the Building covering the full
replacement cost of all property and improvements installed on the Property and commercial

general liability insurance issued by a company or companies qualified to do business in the State
of Illinois.
8. Notice. Any notice required or permitted to be given by this Agreement must be in
writing and is sufficiently given upon the actual receipt by the recipient, if notice is given by
personal delivery or e-mail and a confirmation copy of such notice is simultaneously sent by
personal delivery,U.S.certified mail(return receipt requested),or reputable overnight commercial
courier service. Notices must be addressed to the recipient as set forth below or at such other
address as provided pursuant to this notice provision:

9.Severability. It is agreed by the parties that the provisions of this Agreement are
severable. If any provision, paragraph, section, subdivision, or clause is held to be contrary to the
law,or contrary to any rule or regulation having the full force and effect of law, such decision shall
not affect the remaining portions of this Agreement.
10. Entire Agreement. It is agreed by the parties that the Agreement of the parties is
contained herein,and that this Agreement supersedes all oral agreements and negotiations between
the parties relating to the subject matter hereof.
11. Amendments. Any alterations, amendments, deletions or waivers of any provision
of this Agreement shall be valid only when executed in writing and signed by both parties.
12. Rights of Third Parties. Nothing herein shall be construed to create any rights or
duties to third parties, it being the parties' mutual intent that there be no third party beneficiaries
to this Agreement.
13. Authorized Signatory. Each person signing below on behalf of one of the parties
hereto agrees, represents and warrants that he or she has been duly and validly authorized to sign
this Agreement on behalf of the party.
NOW, THEREFORE, the parties have entered into this Agreement on the date set forth
above.

Paul Letizia of Financial Dynamics has requested permission from the City Council to hold the
2020 Green Street Cruise Nights on every other Monday evening according to the attached
schedule.
The event is held in the municipal parking lot behind the Green Street Cafe'. Activities involved
with the event include a DJ for announcements and music, a select area for vendor tents, and
live music.
ANALYISIS:
This event is popular and has become an annual tradition in the community. Staff has received
no reports of incidents from past events. Minimal City support is required for the event, which
includes barricades, additional trashcans, and picnic tables. Some Police support may also be
necessary.
Therefore, if the City Council concurs, it is recommended a motion be considered to approve
the annual Green Street Cruise Night event as presented.

Call to Order: The City Council of the City of McHenry, Illinois, met in regular session on
Monday, March 2, 2020, at 7:00 p.m. in the McHenry City Council Chambers, 333 S. Green
Street, McHenry, IL.
Roll Call: Mayor Jett called the roll call.
Members present: Alderman Santi, Alderman Glab, Alderman Schaefer, Alderman Harding,
Alderman Mihevc, Alderman Devine, Alderwoman Miller, and Mayor Jett. Others present:
Attorney McArdle, Administrator Morefield, Interim Director of Public Works Strange, Director
of Community Development Polerecky, Finance Director Lynch, Director of Parks and
Recreation Hobson, Director of Economic Development Martin, and Chief of Police Birk, and
City Clerk Ramel.
Pledge of Allegiance: Mayor Jett led those present in the Pledge of Allegiance.
Public Comments:
Representing non -profit Sleep In Heavenly Peace, Chris Freeman the territory manager
expressed his concern for donations to help with children that are unfavorable conditions. His
non-profit teaches volunteers how beds can be built and that are in turn given to children that
need a place to sleep off the floor. A phamplet was handed out to The Council and its members.
Randy Leggee spoke from the Pioneer Center; in McHenry County they are building a new
shelter with an opening date of June 1st. This PADS shelter will have an increased about of
beds. He talked about operating budgets and would like all the cities of McHenry County to
try to enlist some support and is looking for donations.
Kay Bates/ Steve Doherty running for McHenry County Board once again, both introduced
themselves as stated they would like to support the City and its Council if elected. Kay Bates
explained that there is much information on her Facebook page for those to view regarding
her platform.
Consent Agenda: Motion to Approve the Following Consent Agenda Items:
A. Resolution Adopting a Revised Anti-Harassment Policy;
B. Rejection of all Bids for Printing and Delivery of Recreation Brochures and City

Consent Agenda: Motion to Approve the Following Consent Agenda Items:
Pulled Separate, requested by Alderman Glab).
E. Grant the McHenry Area Chamber of Commerce an extension of the event hours on
Sunday July 12, 2020 to 1) accommodate the annual city fireworks show and 2) to
extend the hours of the special event liquor license to 9:45 p.m. on July 12, 2020;
Alderman Glab spoke regarding this wanted to limit the liquor license back to 9:00
because the fireworks start when it gets dark and wants to make sure people are not
being bothered to get last drinks when getting settled for the fireworks. He pulled this
item because of that. Alderman Santi asked how things will be situated with the park
and crowding, Director of Parks and Recreation Hobson talked about increasing more
of a zone for crowds, around 800 feet of buffer to help maintain the crowds, making it
more room, the fireworks are going to be going of more west of the pond. Alderwoman
Miller was in favor of the ordinance.
A motion was made by Alderman Santi and seconded by Alderwoman Miller to

Alderman Schaefer, Alderman Glab, Alderman Harding, Alderman Mihevc, Alderman

Individual Action Item Agenda:
A. Approval of a liquor license transfer from McHenry Country Club (Food for Thought LLC)
to Kelsey No. 3 LLC;
Issuance of a new liquor licenses per Administrator Morefield, explained this Individual
Action Item. Alderman Schaefer asked if the Mayor has met with them, yes he has.
Alderman Glab wanted to know if it is open to public and yes it was confirmed that it is
already open. Alderman Santi asked how long the liquor licenses has been obtained 15
years and has passed. No public comments.

B. Approval of a Video Gaming Application for Kelsey No. 3 LLC (Metalwood Grille);
Presented by Administrator Morefield, explained this individual action item, it's a
requirement to execute a video gaming restrictions. Alderman Glab questioned the video
gaming, wanted to know if we are controlling that anymore. Alderman Santi is against
the video gaming only entities, this is a restaurant that has flourished over many years
and looks to it as a benefit to them. Alderman Schaefer supports this because it was a
long time establishment already. The discussion regarding this item went on for some
time.
A motion was made by Alderman Santi and seconded by Alderman Devine to approve

C. Approval of a Video Gaming Application for Utopian Roast LLC (Hidden Pearl Cafe);
Administrator Morefield explained this individual action item. In October 2017 it had been
requested for video gaming, there is an application that has been completed. Alderman
Santi had positive opinion of this establishment and the requests of this individual action
item. Director of Community Development Polorecky, expanded a bit more about how the
establishment is expanding, the video gaming would be located in the back by the bar.

Director of Economic Development Martin explained this ordinance. Several Council
Members asked questions to Director Martin. Discussion on this item continued for a
few minutes. No public comment.

Road in the City of McHenry, McHenry County, Illinois.

Discussion Items:
A. Lafarge update from Randi Willie regarding the status of the gravel pit;
Randi Willie the regional Manager of Lafarge, discussed his presentation that was prepared
in January regarding the status of the gravel pit. A brief overview was given regarding the
history of the mining and the company and how it became Lafarge. The past, present and
future of the mine activity was presented to The City Council. The 2020 extraction and
restoration plan has been off to a good start due to the mild winter that Illinois has been
experiencing. A few questions were asked by The Council.
B. Non-highway vehicles (golf carts and UTVs).
Chief Birk presented this discussion and presented the large scale diagram that was up
for presentation for all to view. The topic of crossing 120 was part of the discussion
brought up by some of The Council Members. There is a clause of inclement weather,
Chief Birk presented this as well as the hours and dates that the non-highway vehicles
can be used. This is a one year ordinance that can be changed if needed which was
also brought up by The Council. The rules of the road need to be abided by, per Chief
Birk. $100 first time $50 years after same owner same vehicle. The ordinance and rules
will be given out to the permit holder.

Regulations, by adding Section 7-2-5, Operation of Non-Highway Vehicles on City

Staff Reports: Shamrock of the Fox March 14t" Shuffle, dying of river and parade, 15t" event
grounds 12-7 conclude the event fireworks.
Mayor's Report: Mayor Jett thanked those Council members who met with and worked with
the Chief of Police for the off-road vehicle ordinance. He expressed his disappointment that
one Council member refused to meet on the issue, referring to Alderman Glab. Mayor Jett
expressed the importance of working as a team. Alderman Glab expressed he did not support
the ordinance because of the time restrictions that the off-road vehicles can operate at night
were too late.
City Council Comments: Alderman Schaefer wanted to know when the political signs could
be picked up. City Sign has been decided.

BACKGROUND:
Coronavirus disease 2019 (COVID-19) is a potentially severe acute respiratory infection caused
by severe acute respiratory syndrome coronavirus 2 (SARS-CoV-2). The virus was first identified
as the cause of an outbreak of pneumonia of unknown cause in Wuhan City, Hubei Province,
China, in December 2019. The first presumptive positive case of the COVID-19 virus has
occurred within McHenry County, Illinois.
Governor J.B. Pritzker has decreed a state of emergency for the State of Illinois and McHenry
County Board Chair Jack D. Franks has proclaimed a disaster emergency for the County of
McHenry. Following these actions, Mayor Wayne Jett issued the attached Proclamation of Local
Disaster Emergency for the City of McHenry on March 11, 2020.
ANALYSIS:
Pursuant to Section 6-1-14(A) of the Municipal Code, City of McHenry, Illinois, the Mayor may
declare a local disaster emergency for a period not in excess of seven (7) days, except by or with
the consent of the City Council. Section 6-1-14(B) of the City Code states “[t]he effect of a
declaration of a local disaster emergency is to activate the response and recovery aspects of
any and all applicable local or interjurisdictional disaster emergency plans and to authorize the
furnishing of aid and assistance thereunder.”
RECOMMENDATION:
Due to the significant health concerns relating to the Coronavirus disease 2019 (COVID-19) and
to maintain a healthy, safe community and work environment so that community events and
businesses can continue and City services to the residents of McHenry can continue without
interruption, it is recommended that the City continue the Proclamation of Local Disaster
Emergency.
Therefore, if Council concurs, it is recommended that the following motion be made and
acted upon:
1) Continuation of the Proclamation of Local Disaster Emergency for the City of McHenry
through the end of the day on March 20, 2020.
CONTINUATION OF EFFECTIVE DATES OF THE
MARCH 11, 2020 PROCLAMATION BY THE MAYOR
OF LOCAL DISASTER EMERGENCY
IN THE CITY OF McHENRY, ILLINOIS
On March 11, 2020, the Mayor of the City of McHenry issued a Proclamation of Local
Disaster Emergency in responses to the well-publicized Coronavirus disease 2019 (COVID-19)
for a limited timeframe of seven (7) days.

the Municipal Code, City of McHenry, Illinois, Section 6-1-14, Declaration of Local Emergency,
we, Wayne S. Jett, Mayor of the City of McHenry, and the City Council do hereby proclaim that
a local disaster emergency exists in the City of McHenry due to ongoing Coronavirus disease 2019
(COVID-19) concerns in the City of McHenry and McHenry County. The purpose is to activate
the response and recovery aspects of any and all applicable local or interjurisdictional disaster
emergency plans, to authorize the furnishing of aid and assistance thereunder, and to bring this to
as quick of a conclusion as possible.
The City of McHenry’s emergency operations plans are hereby activated for the best
interest of the residents of the City of McHenry.
This Proclamation is effective the 16th day of March 2020 and shall continue through the
end of the day on April 20, 2020.

AGENDA ITEM SUMMARY:
Staff requests City Council to consider approving and Easement and Maintenance Agreement between
the McHenry Public Library District, Reese Real Estate, LLC, Chicago Title Land Trust Company and the City
of McHenry which will grant an easement to the City for the maintenance of sanitary sewer main along
the eastern property line adjacent to the State Right of Way for Illinois Route 31.
BACKGROUND:
In the Spring of 2019, the McHenry Public Library District approached the City of McHenry with a request
to improve its shared sanitary sewer service and connection to the City sanitary sewer main on Kane
Avenue. The existing service is a 6" mainline which is shared between the Public Library located at 803
Front Street, Reese Real Estate, LLC located at 805 Front Street, and Chicago Title Land Trust Company
Located at 809 Front Street. The current connection to the City sewer main is a blind ("Tee") connection
to the main on Kane Avenue. Additionally, the current shared service contains bend fittings which the
City does not allow in sewer mains due to the risk of sediment buildup and lack of access. As a condition
of the approval of the easement and maintenance agreement, the Library is installing manholes at all
bend locations and connecting to the existing sewer main at a manhole which is in accordance with City
Standards.
ANALYSIS:
City staff have televised the existing shared private sewer main and have found the condition of the main
to be sufficient for City acceptance and maintenance. Staff have furthermore reviewed and approved
engineering plans forthe proper connection of the shared sewer main to an existing City sanitary manhole
on Kane Avenue. The language of the agreement has been reviewed and approved by each of the parties

RECOMMENDATION:
Therefore, if Council concurs, it is recommended that a motion be made to authorize the Mayor's
execution of an Easement and Maintenance Agreement between the McHenry Public Library District,
Reese Real Estate, LLC, Chicago Title Land Trust Company and the City of McHenry which will grant an
easement to the City for the maintenance of sanitary sewer main along the eastern property line
adjacent to the State Right of Way for Illinois Route 31.

Recitals
A. Grantor#1 hereby represents it is the owner of certain real property legally described as Grantor

D. Grantors property as legally described on Exhibit A will collectively sometimes be referred to
herein as"Grantor's Property"; and
E. Grantors have agreed to grant, and Grantee has agreed to accept, a permanent exclusive
easement(subject to existing and recorded easements) for access to and construction, installation, replacement
and repair of sanitary sewer improvements on, over and across a portion of Grantor's Property in the area
depicted and described as a City Sanitary Sewer Easement on the Plat attached hereto as Exhibit`B"("Easement
Area").
NOW,THEREFORE, in consideration of the mutual agreements,covenants and restrictions herein set
forth,the adequacy and sufficiency of which is acknowledged as received by the parties hereto, it is agreed as
follows:
I. All of the above recitals are incorporated herein by reference.
2.On or before, July 30, 2020, Grantor #1 shall, at its own cost, construct and install certain
sanitary sewer improvements within the Easement Area,to service all of Grantor's Property,in
accordance with Plans and Specifications approved by the City ("Sanitary Sewer
Improvements"). Following construction of the Sanitary Sewer Improvements and approval
by the City, Grantor#1 shall execute a Bill of Sale("BOS"), on a form provided by the City,
effectively conveying all Sanitary Sewer Improvements to the City.
3.Grantors hereby grant Grantor #1 and Grantee the right to construct, inspect and install the
Sanitary Sewer Improvements within the Easement Area.
4.Grantors hereby grant to Grantee, its successors, assigns, invitees and grantees an exclusive
perpetual easement (subject to existing and recorded easements) on, over and across the
Easement Area for the maintenance, repair or replacement of the Sanitary Sewer
Improvements. Provided, however, Grantors reserve the right to construct asphalt parking lot
improvements within the Easement Area("Grantor Improvements"), subject to the Grantee's
right to remove the Grantor Improvements at any time in the future to access the Sanitary Sewer
Improvements within the Easement Area ("Removal of Grantor Improvements"). After
Removal of Grantor Improvements by Grantee and necessary work on the Sanitary Sewer
Improvements is completed, Grantee shall restore that part of the pavement so removed with a
new patch of hot mix asphalt. The parties acknowledge that a cold joint between the new
replacement patch of pavement and the remainder of the parking lot(s)will be established and
that the patch will not match the remainder of the parking lot in color.
5. After execution of the BOS relating to the Sanitary Sewer Improvements, Grantee shall be
solely responsible for future maintenance, repair and replacement of the Proposed Sanitary
Sewer Improvements.
6.Grantee hereby confirms the right of each Grantor,and their heirs,successors,assigns,invitees
and grantees,to access the Sanitary Sewer Improvements for their own respective property use
via service lines constructed and paid for by each Grantor. All rights granted herein are subject
to the rights previously granted in any recorded Grant of Easement.
7.Grantors hereby represent and warrant to Grantee that each Grantor(i)is the sole owner in fee
simple of Grantor's Property,which includes the Easement Area and(ii)has a lawful right and
authority to execute this Grant of Easement and to grant the rights and easements set forth
herein.
8. Any modification of this Grant of Easement or additional obligations assumed by any party in
connection herewith shall be binding only if evidenced in writing, signed by each party or
authorized representative of each party.
9.Counterparts. This Grant of Easement may be executed in one or more counterparts, all of
which,taken together,shall constitute an original agreement.

AGENDA ITEM SUMMARY: The City acquired the parcels at 1202 N. Riverside Drive in April of
2013. There has been a great deal of investment into the property since that time. It has also
become one of the main hubs for activity within the downtown area and especially along the
Riverwalk hosting most notably the ShamRocks the Fox Festival. With additional interest in public
events and use of the property for park-like activities, a proposed resolution designating the
property east of Riverside Drive as Miller Point Park is presented to Council for consideration.
BACKGROUND: In 2002 the City began the task of downtown development, including the initial
concepts and designs of the McHenry Riverwalk. From the very start the property at 1202 N.
Riverside Drive was an essential public gathering area. The area was designated as Miller Point
and called for a complete redesign and development through public investment on a significant
portion of the property. Due to unforeseen events the existing restaurant had to be demolished
and eventually the city purchased the property at a discounted rate from the Miller Family.
Almost immediately the City made arrangement to demolish the existing wood piers on the
property that had fallen into disrepair. Also at this time the City invested $50,000 into a new pier
system that would serve as a key public boat dock for the Riverwalk and downtown. During this
time the property has been actively marketed without any real interest.
The City continued to partner with the McHenry Riverwalk Foundation to construct linear footage
of the Riverwalk that would draw people to the site. In fact two separate phases of the Riverwalk
were completed between 2014 and 2019 amounting to over $1 Million of private donations
invested into the property or property immediately adjacent.
In 2017, the City hosted the initial ShamRocks the Fox Festival using the Miller Point grounds as
the event central location. This event created an atmosphere in which all downtown businesses
were able to thrive on that weekend in particular. This has literally become the biggest weekend
of the year for the downtown businesses in the area. It has not just been this festival that has
utilized the grounds, an annual kayak launch during Fiesta Days has become a popular event.
Then just last year the City and the Riverwalk Foundation partnered in the first "Light the Night"
event. Again thousands of people came down to Miller Point to celebrate as a community and
enjoy music and the inaugural lighting of the fire globes. The globes alone were another$14,000
of private investment. The event is once again in the planning stages and looking to incorporate
a Venetian Night as well this year. Also the Rotary Club has put in a request to host their
Oktoberfest at that site.
ANALYSIS: The property at Miller Point has not developed along the initial lines that were
envisioned when the property was acquired. However the untapped potential of this designated
public space has become very clear. It not only provides a public gathering space, but downtown
parking and most importantly, it has been the catalyst that has assisted with the overall success
of downtown and the businesses there. It is not just public events, this city has already had
requests to reserve the parks for three weddings.
Miller Point has become the City's public connection the Fox River and one of the key access
points for boaters to stop and walk the Riverwalk into the downtown areas. The time seems
appropriate at this point to take the steps to preserve this public space.
The byproduct of this designation is also the utilization of Parks Developer Donation Fund dollars
to go along with Tax Increment Dollars and private investment to continue to improve this space
and utilize it to aide in the continued success of the overall downtown.
RECOMMENDATION:
Therefore, if Council concurs, then staff requests that a motion be made for the Mayor's
execution of an resolution designating the parcels east of Riverside Drive at 3.202 N. Riverside
Drive Miller Point Park

A Resolution Establishing Miller Point a
Public Park to be Known as Miller Point Park
WHEREAS, the City of McHenry, McHenry County, Illinois (the "City"), is a home rule
municipality as contemplated under Article VII, Section 6, of the Constitution of the State of Illinois,
and the passage of this Resolution constitutes an exercise of the City's home rule powers and functions
as granted in the Constitution of the State of Illinois;
WHEREAS, Section 11-98-1 of the Illinois Municipal Code allows the corporate authorities of
each city to establish and maintain public parks ("Public Park") for the use and benefit of the
inhabitants of the municipality (65 ILCS 5/11-98-1);
WHEREAS, pursuant to Chapter 8, Developer Donations, of Title 12 of the Municipal Code,
City of McHenry, Illinois, the City holds in trust in a special segregated fund, cash donations for the
acquisition or development of park and recreational land and facilities to service the needs of its
residents ("Developer Donations"); and
WHEREAS, the City desires to establish Miller Point, as defined below, as a Public Park, for
various reasons, including proper use of Developer Donations for the development of Miller Point to
service the needs of City residents.
NOW, THEREFORE, BE RESOLVED by the CITY COUNCIL of the CITY OF McHENRY,
McHenry County, Illinois, as follows:
Section 1: The City hereby establishes the property located at 1202 N. Riverside Drive,
McHenry, Illinois, with the designated Property Index Number of 09-26-477-012 and depicted on the
attached Exhibit A, commonly known as Miller Point, as a Public Park hereby designated as Miller
Point Park.
Section 2: Any Developer Donations that have been acquired by the City in lieu of park land
dedications may, in the future, be used for the development of Miller Point Park.
Section 3: All resolutions and parts of resolutions in conflict with this Resolution be and the
same are hereby superseded, that this Resolution be in full force and effect forthwith upon its adoption
and that this Resolution shall be deemed to be subject to modification in application to comply with the
general election law.

AGENDA ITEM SUMMARY: City staff was approached in the fall of 2019 with a conceptual idea
for the rental of both motorized and non-motorized boats at the Miller Point site. The seasonal
rentals would include a small concession building/rental office, mini-retro boats, a wheelchair
accessible pontoon, paddle boats, kayaks, and stand up paddle boards. In order to accommodate
the proposal the group is requesting the City of McHenry have water and electric to the site, a
pier system to house the boats and a sandy launch area for the kayaks, paddle boats and stand-
up paddle boards. A thorough 3 year revocable concession agreement was developed and is
presented to City Council for their consideration.
BACKGROUND: City of McHenry staff have been in conceptual discussions with All Marine Retro
Boat Rentals dating back to fall of 2019. Their interest came to the city as the city's downtown
has garnered great momentum in recent years and as they were monitoring the development of
Miller Point by the City and the Riverwalk Foundation. The conceptual basis for the discussion
was a boat rental company based on the modification of a current successful endeavor that the
group is associated with; Barrington Boat Club. All Marine's initial discussion centered upon the
hourly rental of four 18 foot mini retro-styled 10 horsepower boats that they have restored. The
discussions were expanded to incorporate rentals of a variety of options that would include
kayaks, paddle boats, and stand-up paddle boards.
All Marine will retrofit a small shipping container to serve as their rental office and a concession
stand on site. A second small unit would be placed on the site in an out of the way spot to serve
as storage when the rentals need to be secured. In order to accommodate, the rental and
concession office, All Marine is requesting the City's assistance in supplying water and electric to
the site and to put down a pad of limestone screenings for the unit to sit on. In addition to the
pad, All Marine is requesting that the city provide ADA compliant floating piers that the 4 retro
boats and one pontoon would be moored at. The final two items that have been requested of
the city are to add a sand launch area, in a to be determined location, for the kayaks, paddle
boats and stand-up paddle boards and to all the patrons of All Marine to use portable toilets that
are seasonally placed on the site.
In the creation of the proposed agreement, year one will establish a revenue baseline. Beginning
year two All Marine will provide the City of McHenry compensation in the amount of 3.5% of the
gross monthly revenue payable on or before the 15th of each month. Additionally, All Marine has
included in its proposal an annual donation to the McHenry Riverwalk Foundation.
All of these item specifics, as well as a layout of the proposal are included in the attachments to
this document.
ANALYSIS: One of the cornerstones of the downtown redevelopment plan and numerous
strategic plans for City of McHenry has been access to the Fox River. This is access for our
residents but access to also draw visitors to the city and to the downtown area. All Marine's
proposal is one that has the potential to draw a great deal of interest from residents and visitors
alike. Having the availability of these amenities in an area of the Fox River that is no wake as well
as the recently dredged Boone Creek, provides the safest situation for rentals as well as the
existing boat traffic.
All Marine brings years of experience and a successful business model to the city for a partnership
in which everyone benefits, including the McHenry Riverwalk Foundation. They are asking for a
city investment to the property for the piers and utilities, however these investments will be city
property and will be beneficial to the property regardless of if the boat rental business is there
or not. It is also important to note that the estimated $40,000 investment by the city is a fraction
of what the estimated private investment of nearly$157,000 would be.
The revocable concession agreement provides a very clear structure of the agreement between
the City and All Marine outlining the services, responsibilities of both parties, insurance,
indemnification and compensation.
RECOMMENDATION:
Therefore, if Council concurs, then staff requests that a motion be made for the Mayor's
execution of a 3 year revocable concession agreement with All Marine Retro Rentals for the
operation of a boat rental business at Miller Point and to authorize the city staff to spend an
amount not to exceed $40,000 from the Parks Developer Donations Fund for the
implementation of piers, a sand launch area and to provide water and electric to a concession
pad site.

The Business
The purpose of All Marine's Retro Rentals is to provide a unique boating experience for
all to enjoy. Working alongside the city of McHenry, we hope to enhance the Riverwalk
restoration with a unique use of watersports enjoyment.
Our boats are all original from the 1950's and 1960's. They are restored to showcase
the pastime of boating fun and will all go at slow speeds that are perfect for a scenic
cruise to take in all that McHenry's waterfront area has to offer. The slow motor speeds
are perfect for a no wake area. Additionally, we plan to provide a kayak and paddle
board experience through the availability to rent these items. This allows even more
water enthusiasts to be drawn to the Riverwalk area of McHenry.
Potential phase two of this venture is to promote this area to all community members
beyond boaters. Based on the success of phase one, we would like to offer a unique ice
cream stand along with other food options. This will allow people to enjoy a well-
rounded experience while visiting Miller Park. Therefore, this phase would require
further negotiation with the city.
All Marine's Retro Rentals connects the passion of boating with the nostalgia of our
beloved pastime of the 1950's and 1960's. Young and old alike can enjoy a scenic ride
in retrofitted boats unlike any others. In collaboration with the village of McHenry, the
people in the community and the surrounding areas will be drawn to the novelty of this
experience. As a result, customers will enjoy a beautiful Riverwalk that exposes them to
the various McHenry shops and restaurants, further boosting economic growth, and
putting the town of McHenry and the beautiful Riverwalk restoration on the map as a
popular destination.
All Marine's Retro Rentals will cover everything to provide the customer with a trouble-
free experience from boat servicing, insurance costs, a user-friendly reservation system,
great customer service, and, finally, a memorable experience.

all with a unique, fun-filled, and memorable waterfront experience.
Business Structure
All Marine's Retro Rentals is a women-owned small business (WBE), Limited Liability
Corporation formed in the State of Illinois with two (2) partners, Michelle and Dillon
Streit.
Michelle Streit is a long-time educator and administrator in the area. She has three
master's degrees and a plethora of customer service training. Her childhood boating
adventures and relationship with Dillon Streit bolstered her love of watersports. As
business partners, they hope to bring the enjoyment of boating and water fun to their
local communities.
Knowing how expensive boat ownership can be through our work servicing boats, they
felt it was time to provide their local community with opportunities to experience boating
without the hassles and costs associated with ownership. To accomplish this, Dillon and
Michelle started the Barrington Boat Club In 2018, which Michelle manages. The club
works like a boating timeshare that allows members to use premium boats all summer
long. This company has been a welcomed and successful business in the Barrington
area.
Dillon spent much of his life in the boating industry with the Streit family starting All
Marine Services in 1987. Dillon has a vast knowledge of boating and quality customer
care. His love for the boating world led him to make this passion a life-long career. In
2006, Dillon took over as the owner of All Marine. He is a certified Mercury mechanic
and an expert in fiberglass repair. Dillon's experience, expertise, and impressive
reviews make him an excellent partner to assure the success of the business.
The enjoyment of getting people out on the water with ease and love for retro boats led
to the next business venture of renting out a fleet of retro boats.
Business Plan
As previously stated, the boats will all be original from the 1950's and 1960's. They will
be completely restored to showcase the pastime of boating fun and will all go at slow
speeds that are perfect for a scenic cruise to take in all that McHenry's waterfront area
has to offer. They will be equipped with state of the art, environmentally friendly
outboard motors. The slow motor speeds are perfect for a no wake area. Additionally,
we plan to provide rentals of kayaks, paddle boats, paddle boards and row boats.
The intent is to start the business with the following offering of rental units:
a. Powered/Motorized Retro Boats —4 units
b. Non powered Paddle boats - 2 units
c. Kayaks — 6 units
d. Paddle boards — 6 units
e. ADA compliant Powered/Motorized Retro pontoon boat— 1 unit
f. Non powered row boats - 2 units
All the units will be registered as required by the State of Illinois and will have a Fox
Waterway sticker, if required. All vessels will be inspected to meet Coast Guard,
Federal and State safety requirements. Life jackets will be provided for every individual
renting a boat. All customers will be encouraged to wear a life jacket and all children
under the age of 13 years will be required to have a life jacket on as per Coast Guard
Regulations. Life vests are required for all non-motorized rentals In addition, all rental
units will be equipped with all the required Coast Guard safety equipment and each unit
will be equipped with a waterproof two way radio for use by the customer to identify any
issue and for emergency purposes.
All Marine's Retro Rentals is prepared to ramp up the number of units available for
rental should the rental demand require additional units. A usage/demand review will be
completed at the end of each month to determine if additional equipment is required.
One additional retro boat will be available immediately and the ramp up time for
additional equipment will be limited to the time frame associated with purchasing and
delivering the required units.
To support the rental process, All Marine's Retro Rentals plans to provide two (2)
modified twenty (20) foot long sea containers modified and painted to match the retro
theme.
One (1) of the containers will be modified to serve as the rental administrative
kiosk and a concession stand selling a limited amount of snack foods and
nonalcoholic drinks This unit will be supported by a backup natural gas
generator.
The 2Id container will be used for storage of equipment such as life jackets,
paddles and other required equipment. This container will also be painted to
reflect the retro theme.
As fuel will be required for motorized boats, the spill-proof fuel tanks in the boats will be
removed, filled, and then replaced to assure no fuel spillage in the water. Fuel will be
purchased off site and brought to Miller Park in spill proof fuel tanks. The spill proof fuel
tanks will be stored in an appropriate UL approved Flammable Storage Cabinet with
self-closing doors in the storage container.
Adequate and applicable Insurance coverage will be provided by All Marine's Retro
Rentals from Markel Corporation; an A rated company, and will meet, at a minimum, the
following:
a. Commercial General Liability - $1,000,000 each occurrence and $2,000,000
aggregate. Include watercraft liability. Include the City as an additional insured on
a primary and noncontributory basis
b. Commercial Auto Liability - $1,000,000 each occurrence naming the City as an
additional insured on a primary and noncontributory basis.
c. Workers compensation including Jones act, Harborworkers etc coverage with a
Coverage A Statutory limit and a $1,000,000 Coverage B limit
d. Waiver of subrogation in favor of the City of McHenry.
All rental customers will be required to fill out rental agreements and Indemnification
forms. The agreement will specifically require that all operators of All Marine's Retro
Rentals equipment not consume any alcoholic beverages while operating rental
equipment. AMRR will have a website that will allow customers to make reservations
and pay for rentals in addition to requesting and paying for rental equipment at the
onsite kiosk.
In addition to renting equipment All Marine's Retro Rentals will use the Rental/Office
container to sell prepackaged concessions that do not require any health inspections
and/or special equipment. Customers will have the ability to purchase soft drinks that
would come with a small cooler filled with ice to take with them to keep their
refreshments cool during their equipment rental period. Any person using Miller Park
along with any boats using the City of McHenry Miller Park public piers will also have
access to purchase nonalcoholic beverages and concessions from the kiosk.
All Marine's Retro Rentals proposes to start rental operations on May 15. Operations
will continue with a full schedule up to and including the Labor Day weekend.
Subsequently operations will continue from Labor Day on weekends only up to the last
weekend before October 15.
Days and hours of operation as follows:
Daily 10:00 AM to 8:00 PM.
Hours of operation are contingent upon weather conditions. Weather conditions will be
monitored on an ongoing basis during business hours. Rain and/or lightening within 30
miles will be a basis for temporary suspension of operations. Complete closing for the
day will be based on weather radar projecting bad weather for a continuous period of
time.
Special hours of operation will be available for large groups with reservations and All
Marine's Retro Rentals will adjust hours of operation to coincide and support any City of
McHenry events at Miller Park.
All Marine's Retro Rentals will provide adequate staffing at all times during the hours of
operation with a minimum of two (2) personnel on site consisting of a site manager and
a deckhand. Emergency/backup personnel will be available through All Marine, a sister
company. All personnel will be given training in the following areas:
Basic first aid
CPR
AED Defibrillator with training in its proper use
Procedures to follow to address emergencies
Proper use and fitting of Life Jackets
In addition personnel will be trained in proper customer service to assure the customers
receive quality service and a memorable experience along with training on the
associated software for reservations and payment of services. Staffing levels will be
periodically monitored and will be reevaluated to assure customer satisfaction and
superior service.
At the end of each operating season All Marine's Retro Rentals will schedule a meeting
with City of McHenry to review and discuss the operations along with any issues
experienced. In addition discussions for improvements for the next upcoming year can
be made based on lessons learned along with discussing other suggestions from the
City of McHenry for operational improvement.
Marketing
Execution of Marketing
Our marketing plan is to create a website that showcases our fleet and reservation
options. Customers can book and pay for a reservation right from our site. Software on
the website will be used to capture the customer experience along with any issues
which can then be quickly addressed. Additionally, All Marine's Retro Rentals will
promote the business on social media platforms, email marketing, and will make sure
the website is optimized to come up in google searches.
Following are additional marketing strategies to increase exposure of All Marine's Retro
Rentals (AMRR):

Marine's Retro Rentals will offer local McHenry businesses an opportunity to advertise

All Marine's Retro Rentals will work in conjunction with the city of McHenry to promote
all McHenry events and opportunities for local residents.
Market Size
The potential market for All Marine's Retro Rentals covers a large area which includes
Northern Illinois and Southern Wisconsin, along with the Chicago market. The largest
customer potential will come from the surrounding communities and both McHenry and
Lake counties. With All Marine's Retro Rentals' marketing strategy along with an
interactive website potential customers will have easy access to information along with
the ability for easy reservations and payment.
Competition
At this time there is not any competition that offers a relaxing, nostalgic ride on a Retro
Boat in a "No Wake" waterway scenario anywhere on the Fox River Waterway. While
both pontoon and regular small boats are offered for rental none offer as
comprehensive and inclusive a list of equipment as All Marine's Retro Rentals which
includes canoes, paddle boats, paddle boards, kayaks and row boats.

I work for Medart Inc. on the Medart Marine division. We are a marine wholesale supplier for
the greater part of the Midwest to the Gulf Coast. I am writing you about my experiences with
All Marine and Dillion Streit.
As a company we have been working with Dillon since I set his account up in March of 2008. In
this time, I has seen Dillon's passion for his business and industry grow more than I could have
expected. His drive and determination to make everything perfect is what sets him apart form the
rest of the dealers I call on. Dillon may not have the biggest shop, but the work he puts out and
the attention to detail is like no other. Dillon tends to put everyone else's needs, especially the
customers, before his own. I know of many occasion where I have been talking to Dillon, after
normal work hours late into the night, only to find out he was still at the shop finishing a job, so
the customer could be on the water for the weekend.
In the last 12 years,there has never been a missed or late payment of products to us. We have
never had an issue with our company that could not be handled in away that benefits everyone.
Dillon will go above and beyond the call of duty to make sure everything is in working order and
ready for the customers.
Another quality I have seen excel in Dillon is the ability to adapt to the situation on the fly. I will
give you an example. This past season, when the lower fox river was flooded, I would be talking
to Dillon as he was on his way to deliver a boat from the river to another lake, so his customers
could continue to use their boats, without loosing a weekend. I do not know many dealers that
are willing to do this.
I have no doubts in my mind that Dillon, All Marine Services, Barrington Boat Club and All
Marine's Retro Rentals can handle all the needs the city of McHenry is looking for. He will help

REVOCABLE CONCESSION AGREEMENT
THE CITY OF McHENRY and ALL MARINE RETRO RENTALS
THIS Revocable Concession Agreement("Agreement") is made on(T13D), 2020, between a City
of McHenry, 333 South Green Street, McHenry, Illinois 60050, an Illinois home rule
municipality and All Marine Retro Rentals 126 Jandus Cutoff Road, Cary, Illinois 60013,
Concessionaire"), an Illinois corporation.
WHEREAS,
A. City of McHenry is the owner of Miller Point and seeks the temporary professional services
of a skilled independent contractor capable of working without direct supervision, to provide
services for the rental of retro boats, paddle boats, pontoon boat, kayaks, paddle boards and row
boats to the general public at Miller Point, 1202 N. Riverside Drive, McHenry, Illinois, 60050;
and
B. The Concessionaire has the requisite skill and experience necessary to provide such services.
NOW, THEREFORE, the parties agree as follows:
That City of McHenry gives and grants to the Concessionaire the license and privilege to operate
a rental operation of retro boats, paddle boats, pontoon boat, kayaks, paddle boards and row
boats at Miller Point solely within the Fox Waterway adjacent to the City corporate boundaries
on the following terms and conditions:
1. Services.
1.1 Concessionaire shall provide a rental boat services operation including a service Kiosk, a
storage container and all necessary rental and safety equipment at Miller Point located at 1202 N.
Riverside Drive in a manner consistent with the accepted practices for other similar services,
performed to City of McHenry's satisfaction.
1.2 Customer Service. Concessionaire and all of its employees, agents, or representatives shall
provide the highest quality of customer service and shall treat all customers with courtesy and
respect. Concessionaire shall address all customer complaints in an expedited manner and will
honor all reasonable requests for refunds, such refund determination at the sole discretion of the
Concessionaire.
1.3 Employee Appearance. All of Concessionaire's employees, agents, representatives or
licensees shall have a neat, clean and sanitary personal appearance and those who come in direct
contact with the public shall wear clothing or identification, which distinguishes them as
employees of Concessionaire.
1.4 Employee Training. Concessionaire shall provide a training program for its employees,
agents, or representatives for the development of the skills and techniques necessary to perform
its obligations under this Agreement including but not limited to promoting customer service,
product and service presentation, cleanliness and a positive attitude.

1.5 Staffing. Concessionaire shall properly staff the rental operations in order to prevent undue
delay to the public. Concessionaire shall plan its staffing in advance and anticipate to the best of
its ability any events, such as holidays or special events, which may require additional staffing.
In the event City of McHenry determines in its sole discretion that Concessionaire is not
adequately staffing the rental operations, it may notify Concessionaire of that fact and
Concessionaire shall endeavor to immediately increase its staffing to meet City of McHenry's
recommendation.
1.6 Hours of Operation. The rental operation shall remain open from 9:30 AM to 8:00 PM of
each day Miller Point is open for business, weather dependent. Weather conditions will be
monitored on an ongoing basis during business hours. Rain and/or lightening within 30 miles
will be a basis for temporary suspension of operations. Complete closing for the day will be
based on weather radar projecting bad weather for a continuous period of time.
1.7 Parking. Concessionaire is responsible for the use and misuse by Concessionaire's customers
in City of McHenry parking areas servicing the Concessionaire's rental operation. No fee may be
charged to the Concessionaire's customers for any use of nay parking areas.
1.8 Food. Concessionaire shall have the right to sell food and nonalcoholic beverages from the
Kiosk subject to meeting McHenry County Health Department requirements and securing
appropriate licensing, if required.
1.9 Alcohol. No alcoholic beverages shall be served or sold to Concessionaire's customers by
Concessionaire. Concessionaire's customers will not be permitted to possess and consume
alcoholic beverages while operating any of Concessionaire's rental equipment. Concessionaire
shall not be barred from applying for a liquor license in the future from the City of McHenry and
City of McHenry will not unreasonably withhold issuance of such liquor license.
1.9 Pricing. Concessionaire is a private independent contractor and all pricing for any services or
goods provided by the Concessionaire will be competitive and shall be determined by the
Concessionaire at its sole discretion.
1.11 Concessionaire Information. The following information is represented by Concessionaire as
true and accurate at the time if signing of this Agreement:

2. Rental Equipment
2.1 Delivery. Concessionaire agrees to deliver and/or install, within 1 month from the execution
of this Agreement, at its sole cost and expense, the rental operations kiosk, storage container and
all equipment required for its operation. Initial list of rental equipment supplied by
Concessionaire is as follows:
i. Powered/Motorized Retro Boats—4 units
ii. Non powered Paddle boats - 2 units

Waterway sticker, if required. All vessels will be inspected to meet Coast Guard, Federal and
State safety requirements. Life jackets will be provided for every individual renting a boat. All
customers will be encouraged to wear a life jacket and all children under the age of 13 years will
be required to have a life jacket on as per Coast Guard Regulations. Life vests are required for all
non-motorized rentals and in addition all rental units will be equipped with all the required Coast
Guard safety equipment.
2.3 Alterations. Concessionaire shall not make any alterations, additions or improvements to the
Miller Point property without City of McHenry's prior written consent, which consent may not
be unreasonably withheld. In the event City of McHenry consents to the making of any
alterations, additions or improvements the cost and expense shall be determined and agreed to by
both parties. In the event such alterations, additions or improvements are made to a structure,
building or other improvement attached to the real property, the same will become a part of the
real property and be surrendered to City of McHenry upon the termination of this Agreement.
2.4 Temporary Removal of Equipment. In the event City of McHenry notifies Concessionaire
that it desires the removal of the rental equipment at any time, due to maintenance or other issues
Concessionaire shall remove the rental equipment to allow access by the City of McHenry. City
of McHenry must give a 7 calendar day notice to Concessionaire.
2.5 Maintenance. Concessionaire shall, at its sole cost and expense, maintain the rental kiosk, the
storage container and all rental equipment and maintain the surrounding real property in good
condition and repair, including, but not limited to, maintaining the Concessionaire's equipment
in a neat, clean and sanitary condition and removing all garbage, trash or other debris on a
regular basis to the City of McHenry's satisfaction.
2.6 Utilities, Taxes and Expenses. Concessionaire shall pay all costs and expenses associated
with the operation of the rental operation other than utility expenses for water and power,which
will be paid by City of McHenry. Concessionaire shall pay directly, before delinquency, any and
all taxes levied or assessed upon its leasehold improvements, equipment, furniture, fixtures and
personal property located on City of McHenry's property.
3. Term
3.1 The term of this Agreement shall commence upon the effective date of this Agreement and
shall continue for a period of 3 years. There will be a yearly performance review between
Concessionaire and the City of McHenry at the end of each operation season. Any extension of
the period will be at City of McHenry's discretion. This Agreement may be extended for
additional periods of time upon the mutual written agreement of City of McHenry and the All
Marine Retro Rentals.

4. Termination.
4.1 Termination. Prior to the expiration of the Term of this Agreement, either party may
terminate this Agreement, with reasonable cause or by inadequate performance of
Concessionaire with a 30 day written notice. Such termination shall be discussed between
Concessionaire and City of McHenry.
4.2 Following the termination of this Agreement the Concessionaire shall remove all of
Concessionaire's support and rental equipment and shall leave all the City of McHenry property
and improvements made to Miller Point in support of the Agreement in a clean and undamaged
condition.
4.3 In the event the Concessionaire defaults on its obligations to fully remove the
Concessionaire's support and rental equipment the City of McHenry may, but is not obligated to,
remove the same left behind and perform any required clean up ("Remedial Actions"). The
Concessionaire shall reimburse the City of McHenry for all expenses incurred for the remedial
action.
5. Compensation.
5.1 Total Compensation. The Concessionaire agrees to pay to City of McHenry an amount equal
to 3.5% the Concessionaire's gross monthly revenue less the applicable Taxes referenced in
section 5.6 ("Concessionaire Responsible for Taxes ") and credit card fees. Compensation will
commence in Year 2 of the Agreement. Compensation for subsequent years may be adjusted
through a mutual agreement of both Parties. The term "Gross Monthly Revenue" shall mean the
total amount charged by Concessionaire, its employees, agents, less the applicable Taxes and
credit card fees for all rental services and merchandise sold, whether for cash or other
consideration or on credit card, and regardless of collections, including but not limited to orders
taken at the Kiosk Stand but filled elsewhere and orders taken elsewhere but filled at the Kiosk
Stands.
5.2 Payment Due Date. Concessionaire shall deliver the Percentage Payment to City of McHenry
on or before the fifteenth (15t") day of each month for Gross Monthly Revenue received during
the preceding month ("Due Date").
5.3 Access to Records. Concessionaire shall provide a written statement to City of McHenry on
the Due Date showing the total Gross Monthly Revenue for the preceding month ("Statement").
Concessionaire will provide City of McHenry or its agents or representatives reasonable access
to the books and records of Concessionaire for the purposes of auditing and inspecting the same
to verify the Statement. The records shall include documents from which the original transaction
entry was made, including sales slips, cash register tapes, on line sales and/or purchase invoices.
5.4 Late Fee. Concessionaire acknowledges that late payment to City of McHenry of the
Percentage Payment will cause City of McHenry to incur costs not contemplated by this
Agreement, the exact amount of which will be difficult to ascertain. Accordingly, if the
Percentage Payment is not received by City of McHenry on the Due Date, Concessionaire agrees
to pay a late fee equal to $ 35.00.

5.5 Concessionaire Responsible for Taxes. The Concessionaire shall be solely responsible for the
payment of any taxes imposed by any lawful jurisdiction as a result of the performance and
payment of this Agreement.
6. Compliance with Laws.
6.1 Concessionaire shall comply with and perform the Services in accordance with all applicable
federal, state, and City laws including, without limitation, all City codes, ordinances, resolutions,
standards and policies, as now existing or hereafter adopted or amended, including but not
limited to the following:
i. Federal, state and local health, safety and licensing laws relating to the sale of concession
goods; and
ii. City code provisions requiring any person or entity doing business in the City to obtain a
business registration.
7.Warranty.
The Concessionaire warrants that it has the requisite training, skill and experience necessary to
provide the Services and is appropriately accredited and licensed by all applicable agencies and
governmental entities, including but not limited to being registered to do the business.
8. Independent Contractor/Conflict of Interest.
8.1 It is the intention and understanding of the Parties that the Concessionaire shall be an
independent contractor and that City of McHenry shall be neither liable nor obligated to pay
Concessionaire sick leave, vacation pay or any other benefit of employment, nor to pay any
social security or other tax which may arise as an incident of employment. The Concessionaire
shall pay all income and other taxes as due. Industrial or any other insurance, which is purchased
for the benefit of the City, regardless of whether such may provide a secondary or incidental
benefit to the Concessionaire, shall not be deemed to convert this Agreement to an employment
contract. It is recognized that Concessionaire may or will be performing professional services
during the Term for other parties; provided, however, that such performance of other services
shall not conflict with or interfere with Concessionaire's ability to perform the Services in the
Agreement. Concessionaire agrees to resolve any such conflicts of interest in favor of City of
McHenry. Concessionaire agrees not to operate its Retro Rental services to or in conjunction
with any other city, town, county or business establishment along the Upper Fox Waterway
North of McHenry Dam) except for the City of McHenry. This excludes marketing resources
such as billboards, radio, television and cable television, Facebook, newsprint or any web based
marketing sources.
9. City of McHenry.
9.1 Improvements. City of McHenry agrees to provide the following improvements:
i. Location for two (2) temporary structures as determined and agreed to by the City of
McHenry and All Marine's Retro Rentals
a) Stabilized pad for placement of the one (1) temporary units

b) Electric power to Kiosk unit only
c) City water to Kiosk unit only
ii. A sandy beach area to be determined with the City of McHenry
a) Launch and beaching area for Kayaks/Paddle Boards
b) Play area for children waiting on equipment availability
iii. Piers
a) Floating piers to accommodate 4 Retro Boats and 2 Paddle Boats
b) One (1)ADA compliant pier
iv. ADA compliant access around all the temporary structures
V. Public Restroom Facilities consisting of two (2)temporary Porta-Lets
a) Unisex Unit
b) ADA Compatible Unit
9.2 The Improvements that are made will become a part of the real property and are the property
of the City of McHenry and as such will be surrendered to City of McHenry upon the
termination of this Agreement.
9.3 The City of McHenry desires to permit the Concessionaire to utilize the improvements for
the duration of the Agreement for the operation of the Concessionaire's rental operation.
9.4 The City of McHenry is a home rule municipality and as such has the authority, pursuant to
Article VII, Section 6(a) of the Constitution of the State of Illinois of 1970, to adopt ordinances
and to promulgate rules and regulations that pertain to its government affairs.
10. Indemnification.
9.1 Concessionaire Indemnification. The Concessionaire agrees to indemnify, defend, and hold
City of McHenry, its elected officials, officers, employees, agents, and volunteers harmless from
any and all claims, demands, losses, actions and liabilities (including costs and all attorney fees)
to or by any and all persons or entities, including, without limitation, their respective agents,
licensees, or representatives, arising from, resulting from, or connected with this Agreement to
the extent caused by the negligent acts, errors or omissions of the Concessionaire, its partners,
shareholders, agents, employees, or by the Concessionaire's breach of this Agreement.
Concessionaire's indemnification shall not be limited in any way by any limitation on the amount
of damages, compensation or benefits payable to or by any third party under workers'
compensation acts, disability benefit acts or any other benefits acts or programs.
9.2 City of McHenry's Indemnification. City of McHenry agrees to indemnify defend, and hold
the Concessionaire, its officers, directors, shareholders,partners, employees, and agents harmless
from any and all claims, demands, losses, actions and liabilities (including costs and attorney
fees)to or by any and all persons or entities, including without limitation, their respective agents,
licensees, or representatives, arising from, resulting from or connected with this Agreement to
the extent solely caused by the negligent acts, errors, or omissions of City of McHenry, its
employees or agents.

9.3 Survival. The provisions of this Section shall survive the expiration or termination of this
Agreement with respect to any event occurring prior to such expiration or termination.
10. Confidentiality.
10.1 All information regarding City of McHenry obtained by Concessionaire in performance of
this Agreement shall be considered confidential. Breach of confidentiality by Concessionaire will
be grounds for immediate termination. Concessionaire's business and financial information shall
be considered confidential and shall not be shared without written approval of Concessionaire.
11. Insurance.
11.1 The Concessionaire agrees to carry as a minimum, Workers' compensation and employer's
liability insurance in amounts sufficient pursuant to the laws of the State, Automobile liability
insurance and Workers' compensation and employer's liability insurance in such forms and with
such carriers who have a rating, which is satisfactory to City of McHenry. At minimum
insurance amounts shall meet the following City of McHenry requirements:
a. Commercial General Liability - $1,000,000 each occurrence and $2,000,000 aggregate.
Include watercraft liability. Include the City as an additional insured on a primary and
noncontributory basis
b. Commercial Auto Liability - $1,000,000 each occurrence naming the City as an
additional insured on a primary and noncontributory basis.
c. Workers compensation including Jones act, Harborworkers etc coverage with a Coverage
A Statutory limit and a$1,000,000 Coverage B limit
d. Waiver of subrogation in favor of the City of McHenry.
City of McHenry shall be named as additional insured on all such insurance policies, with the
exception of workers' compensation coverage. Concessionaire shall provide certificates of
insurance, concurrent with the execution of this Agreement, evidencing such coverage and, at
City of McHenry's request, furnish City of McHenry with copies of all insurance policies and
with evidence of payment of premiums or fees of such policies. All insurance policies shall
contain a clause of endorsement providing that they may not be terminated or materially
amended during the Term of this Agreement, except after prior written notice to the City.
Concessionaire's failure to maintain such insurance policies shall be grounds for City of
McHenry's immediate termination of this Agreement. The provisions of this Section shall
survive the expiration or termination of this Agreement with respect to any event occurring prior
to such expiration or termination.
12. Exclusive Right.
12.1 This Agreement does grant Concessionaire an exclusive right for boat rentals at the Miller
Point location only. City of McHenry agrees not to grant to other persons or entities any of the
rights contained herein or otherwise.

13. Signs.
13.1 Concessionaire shall be limited to placing a sign on the kiosk stand and storage trailer only
and can place signs relating to safety and customer direction in areas agreed to by the
Concessionaire and the City of McHenry. Concessionaire shall not place any sign, notice or
advertising matter in or about City of McHenry's real property, without its prior written consent,
which consent shall not be unreasonably withheld. If required by City code, Concessionaire shall
obtain all necessary permits in connection with any such signs.
14. General Provisions.
14.1 Entire Agreement. This Agreement sets forth all the promises, inducements, agreements,
conditions and understandings between the Concessionaire and the City of McHenry and there
are no other promises, agreements, conditions or understandings, oral or written, express or
implied, between them relative thereto.
14.2 Full Force and Effect. Any provision of this Agreement, which is declared invalid or illegal
shall in no way, affect or invalidate any other provision hereof and such other provisions shall
remain in full force and effect.
14.3 Assignment. Neither the Concessionaire nor City of McHenry shall have the right to
transfer or assign, in whole or in part, any or all of its obligations and rights hereunder without
the prior written consent of the other Party.
14.4 Successors in Interest. Subject to the foregoing Subsection, the rights and obligations of the
Parties shall inure to the benefit of and be binding upon their respective successors in interest,
heirs and assigns.
14.5 Attorney Fees. In the event either of the Parties defaults on the performance of any terms of
this Agreement or either Party places the enforcement of this Agreement in the hands of an
attorney, or files a lawsuit, each Party shall pay all its own attorneys' fees, costs and expenses.
14.6 No Waiver. Failure or delay of City of McHenry to declare any breach or default
immediately upon occurrence shall not waive such breach or default. Failure of City of McHenry
to declare one breach or default does not act as a waiver of City of McHenry's right to declare
another breach or default.
14.7 Governing Law. This Agreement shall be made in and shall be governed by and interpreted
in accordance with the laws of the State of Illinois
14.8 Authority. Each individual executing this Agreement on behalf of City of McHenry and
Concessionaire represents and warrants that such individuals are duly authorized to execute and
deliver this Agreement on behalf of the Concessionaire or City of McHenry.
14.9 Notices. Any notices required to be given by the Parties shall be sent by certified mail or via
a nationally recognized private carrier(such as Fed Ex or UPS),to the following addresses:

14.10 Captions. The respective captions of the Sections of this Agreement are inserted for
convenience of reference only and shall not be deemed to modify or otherwise affect any of the
provisions of this Agreement.
14.11 Remedies Cumulative. Any remedies provided for under the terms of this Agreement are
not intended to be exclusive, but shall be cumulative with all other remedies available to City of
McHenry at law, in equity or by statute.
14.12 Equal Opportunity to Draft. The parties have participated and had an equal opportunity to
participate in the drafting of this Agreement, and the Exhibits, if any, attached. No ambiguity
shall be construed against any party upon a claim that that party drafted the ambiguous language.
14.13 Amending Agreement. This Agreement may only be amended by way of a written
instrument that is signed by both Parties.
