RE: City of McHenry/Kingsbury Limited Partnership IRB Closing Agreement
RECOMMENDATION: Authorize the Mayor to execute the Resolution Authorizing
an Agreement between the City of McHenry, McHenry County, and Kingsbury
Limited Partnership.

In 1998, the City of McHenry was the issuer of $5,500,000 Industrial Project Revenue
Bonds to Kingsbury Limited Partnership for the construction of the facility (GLS
Corporation) in the Inland Business Park. In 2000, the partnership discovered that it
had exceeded the $10,000,000 limitation applicable under the federal tax industrial
development bonds. Subsequently, the bond issue has been fully redeemed. In
order for the bondholders to avoid federal income tax problems, and for the City to
avoid problems with respect to the $10,000,000 limitation; the Partnership has
entered into discussions with the Internal Revenue Service to negotiate an agreement
that ensures no tax is owed by the bondholders on the interest paid on the bonds
prior to the redemption date.
Through loan agreements at the time that the bonds were issued, the City of
McHenry is indemnified of all liability. Via the attached resolution, the City will
authorize counsel for the partnership to negotiate a closing agreement with the
Internal Revenue Service on behalf of the City of McHenry. To protect the City’s
interest, the law firm of Chapman and Cutler has been retained to review all
documents. All associated expenses (e.g. review of legal documents, etc.) incurred
by the City will be paid by Kingsbury Limited Partnership.

RE: McAndrews Farm Development
Attachments: Report from Director of Community Development
At the January 3, 2001 City Council meeting, Alderman Glab expressed concern
regarding the development of the McAndrews Farm in the County. Specifically, there
was discussion on whether the proposed development was consistent with the City’s
Comprehensive Plan and, if not, should the City file a formal objection with McHenry
County.
To this end, I asked the Director of Community Development to review the proposal
as it relates to the City’s Comprehensive Plan. His report is attached to this
memorandum for your review.
The following procedure must be followed when filing a formal objection with
McHenry County.
The City Council must vote on and approve a motion to object to the
proposed development;
A written objection must be filed with the McHenry County Clerk prior to
the County Board Meeting, when the County Board will be voting on the
request;
A written protest must be sent by certified mail to the applicant and the
applicant’s attorney; and
Copies of the written protest and certified mail returns from service must
be filed with the McHenry County Clerk no less than 24-hours before the
County Board votes on the petition.
At this time, the Petitioner has only filed a sketch plan with the County. The County
Board has reviewed the plan on an informal basis. The next step in the process is
filing a zoning petition. To date, this has not been done.
