ORDINANCE NO 21-32
AN ORDINANCE AUTHORIZING THE MAYOR'S EXECUTION OF A DEVELOPMENT AGREEMENT
BETWEEN THE CITY OF MCHENRY AND CONTINENTAL 601 FUND LLC.
WHEREAS, the City of McHenry, McHenry County, Illinois, is a home rule municipality as
contemplated under Article VII, Section 6, of the Constitution of the State of Illinois, and the
passage of this Ordinance constitutes an exercise of the City's home rule powers and functions
as granted in the Constitution of the State of Illinois; and
NOW, THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF MCHENRY,
MCHENRY COUNTY, ILLINOIS, AS FOLLOWS:
SECTION 1: The Authentix McHenry Development Agreement bearing the date of
June 7, 2021 between the City of McHenry and Continental 601 Fund LLC. is attached to this
ordinance and incorporated herein by reference as Exhibit "A".
SECTION 2: The Mayor and City Clerk are hereby authorized to affix their signatures as
Mayor and City Clerk to said Agreement for the uses and purposes therein set forth.
SECTION 3:
All Ordinance or parts thereof in conflict with the terms and provisions
hereof are hereby repealed to the extent of such conflict.
SECTION 4: This Ordinance shall be published in pamphlet form by and under the
authority of the corporate authorities of the City of McHenry, McHenry County, Illinois.
SECTION 5:
This Ordinance shall be in full force and effect from and after its passage,
approvalI and publication in pamphlet form as provided by law.

Continental 601 Fund I.I.C. titled "Authentix McHenry Development
Agreement" dated June 7, 2021
AUTHENTIX MCHENIN, Y DEVELOPMENT AGREEMENT
This AUTHENTIX MCHENRY DEVELOPMENT AGREEMENT ("Agreement") made and entered
into this 7th day of June, 2021, ("Effective Date") by and between the CITY OF MCHENRY, an Illinois
municipal corporation (hereinafter referred to as "CITY"), and CONTINENTAL 601 FUND LLC, a
Delaware limited liability company ("C601").
RECITALS
A. C601 has a contract to purchase the property known as Lot 1 of the Final Plat of Subdivision of
Authentix at McHenry identified in EXHIBIT A consisting of approximately 20.6069 acres and is
attached hereto and made a part of this Agreement by reference, hereinafter referred to as the
"Subject Property" conditioned upon securing certain approvals from the CITY.
B. The Subject Property is currently vacant and zoned C-5 Highway Commercial District, pursuant to
the City's Zoning Ordinance,
C. The Subject Property is to be rezoned as Integrated Design District, pursuant to the City's Zoning
Ordinance.
D. The Subject Property is part of a larger territory annexed and zoned under the Trust No. 4714
Annexation Agreement pursuant to Ordinance Nos. &95-699 and O-95-700 recorded January 26,
1995 ("Annexation Agreement").
E. The Annexation Agreement which includes the Subject Property expired by its terms on or about
January 26, 2015.
NOW, THEREFORE, in consideration of the mutual promises set forth herein and other• good and
valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the CITY and
C601 hereby agree as follows:
1. Incot•poration of Recitals. The foregoing recitals and all exhibits attached hereto shall be and are
hereby incorporated in this Paragraph I as if said recitals and exhibits were fully set forth herein.
2. Construction of Multi -Family Dwelling Units• C601 shall have the right to construct Multi -Family
Dwelling Units upon the Subject Property, including a clubhouse, pool and related amenities.
3. Maximum Number of Dwelling; Units. The maximum number of Multi -Family Dwelling Units
permitted to be constructed on the Subject Property shall be 288 units ("Dwelling Units").
4. Approval of Plans and Specifications. The City approves the plans and specifications identified on
EXHIBIT B attached hereto and incorporated by reference (collectively the "Plans"). C601 agrees
to construct the Dwelling Units generally consistent with the approved Plans. Any change or
modification of the Plans that is determined to be minor shall be approved administratively by the
City Administrator without the necessity of amending this Agreement. Major amendments
represent substantial deviations from the Integrated Design District Plans approved by City
Council. Major amendments shall include changes in the following of greater than 5%: floor space,
lot coverage, height, setbacks, open space; changes in the location of buildings, open space,
plantings or parking. Any of the following deviations shall automatically be deemed Major
Amendments: Changes in uses, density, and/or changes in the circulation system. Any changes not
deemed major shall be considered minor. City Council which will be the final arbiter as to whether
the change or modification requires an amendment of this Agreement.
5. Permits and Plat. City and C601 acknowledge that a final subdivision plat of the Subject Property
shall be filed with the City on the terms herein. C601 shall not be required to file the plat prior to
the issuance of any site, grading, foundation or utility permits for the Subject Property. The plat
must be recorded before the issuance of any building permits.
6. Back -Up Special Service Area. C601 is responsible for the maintenance of all the storm water
improvements on the Subject Property. In the event that C601 fails to properly maintain the storm
water improvements, C601 acknowledges that the CITY may, exercising its sole discretion and
without the obligation to do so establish a special service area ("SSA"), special assessment, or other
funding source (collectively, "Funding Mechanism") to secure and finance the operation and
maintenance of storm water improvements.C601 agrees to fully cooperate in the establishment and
administration of any Funding Mechanism selected by the CITY. Any SSA that is established shall
include a provision that requires the CITY to provide written notice to C601 of any failures or
deficiencies in the ongoing operation and maintenance of storm water improvements and a thirty
(30) day period for C601 to correct any such failures or deficiencies before the CITY may take any
steps to make such corrections pursuant to the SSA, unless emergency circumstances exist. The
parties agree that the maximum tax rate that may be levied pursuant to an SSA shall not exceed
0.25% of the assessed value of the Subject Property and shall be in addition to all other property
taxes including the City's if the City elects to pass an SSA levy against the Subject Property. The
proposed amount of the tax levy for special services for the initial year for which taxes would be
levied would be no more than $10,000.
7. A draft of the Ordinance Proposing a Backup Special Service Area is attached hereto as EXHIBIT
E and C601 agrees to its adoption and the adoption of a future ordinance establishing said Special
Service Area, by the City after full Execution of this Agreement.
8. Infrastructure. The CITY acknowledges that C601 is not obligated to make any off -site
improvements to either the sanitary sewer system, the potable water system, the storm water
management system or the road system except as detailed below in sections 7a thru 7f. The parties
agree, however, that C601 may make the following improvements, at its cost, in order to
accommodate its development of the Subject Property:
a. Curbs. C601 shall perform curb removal and replacement and/or curb cuts as required to
accommodate its driveway configuration as provided on Page C4.4 of "Layout and Paving
Plan" of the Plans.
b. Off -site Road Improvements. C601 and the CITY mutually agree that Blake Drive is
currently in poor condition. C601 will be required to improve Blake Drive from Rte 31 to
the Subject Property with a 2.0" asphalt removal and 2.0" asphalt replacement as well as
reinstating the pavement markings and detector loops. This work shall be completed before
the issuance of the final occupancy permit for the last building to be constructed.
c. Water services. C601 may tap water mains and install water services as required to provide
individual water services to serve each building. These water services, to the maximum
extent practical and if installed on the far side from the water main will be installed by
directional drilling to avoid cuts in the finished pavement. Water services shall be installed
as provided on pages C6.0-C6.7 on "Utility Plans" of the Plans.
d. Water Main. C601 shall construct a public water distribution system which serves the site
in accordance with pages C6.0-C6.7 on "Utility Plans" of the plans.
e. Sanitary sewer services. Sanitary sewer services will generally be installed in accordance
with pages C6.0-C6.14 of the Plans.
f. Sanitary sewer. C601 shall construct a public sanitary sewer collection system which
serves the site in accordance with pages C6.0-C6.7 on "Utility Plans" of the plans.
Additionally, C601 shall be responsible to construct a public sanitary sewer extension from
the Rte 31/Blake Drive intersection to the Subject Property and shall restore the disturbed
area to original condition.
g. Public sidewalks. C601 shall install public sidewalks if required adjacent to the Subject
Property and dedicate same to the City in fee simple title by warranty deed and any other
documents reasonably requested by the City not subject to any encumbrance, easement,
mortgage, lien or covenant at no cost to the City. Installation shall be in accordance with
pages C4.4 "Layout and Paving Plan" of the Plans.
9. Capacity to Serve. The CITY acknnowl edges that there is currently sanitary sewer treatment plant
capacity and potable water supply available to serve the Dwelling Units. Water and sanitary
treatment plant and main capacity are reserved for the term of this agreement and will be made
available to the Subject Property.
10. Recapture Agreements. The CITY acknowledges that the Subject Property is not subject to any
existing recapture agreement and that any recaptures affecting the Subject Property have been fully
satisfied.
11. Temporary Sig_nage. The CITY agrees to issue permits, following receipt of proper applications
and fees, for a maximum of two (2) temporary advertising signs at locations identified on
EXHIBIT C attached hereto and incorporated by this reference. The signs may be two-sided or v-
shaped, a maximum of sixty-four (64) square feet in area, eight (8) feet in height and set back a
minimum of ten (10) feet from the property line. The signs shall be removed when C601 has
received its final certificate of occupancy.
12. Construction and Leasing Trailers.
a. Leasing Trailer. C601 shall be permitted, at the C601's sole risk, to construct, maintain and
occupy a Leasing Trailer and to construct and maintain other appurtenant facilities for said
Leasing Trailer, C601 shall have the right to use said Leasing Trailer for sales, sales
promotions and offices for sales personnel, all as may be desirable or in any way connected
with the leasing of Dwelling Units on the Subject Property. The CITY agrees to allow
C601 to construct temporary parking facilities subject to the approval of the CITY and
compliance with all applicable codes of the CITY. Upon issuance of the certificate of
occupancy for the clubhouse, the Leasing Trailer shall be removed.
b. Construction Trailer. Construction trailer(s) used to build Dwelling Units shall be allowed,
at locations to be approved by the CITY. Upon the issuance of 100% of the certificates of
occupancy for the Dwelling Units the construction trailer(s) shall be removed.
13. Fees. C601 and CITY, acknowledge prior cash credits and fees associated with the Annexation
Agreement (which expired on or about January 26, 2015) have been completed and no fees remain
outstanding under the Annexation Agreement. C601 and the CITY hereby agree that C601 shall
only be obligated to pay to the CITY the fees as enumerated on EXHIBIT D attached hereto and
incorporated by this reference with the following exception.
a. C601 has represented that the proposed 288 dwelling units will have an average daily water
use of 23,424 gallons per day. The Combined Water and Sewer Capital Development Fees
in EXHIBIT D have been reduced based the representation made by C601. If during the
term of this agreement, the actual water use is determined by the City Administrator to vary
more than 5% from the 23,424 gallons per day, C601 shall pay the CITY an increased
Combined Water and Sewer Capital Development Fee based on the following formula:
Revised Fee = (Actual Water Use/23,424) x EXHIBIT D Fee. The average daily water use
shall be based on a 12-month rolling average. The CITY will have the right to add the

increased fee to the bi-monthly water bill and will reserve the right to shut-off water service
for non-payment.
14. Binding; Effect and Term. This Agreement shall be binding upon and inure to the benefit of the
parties hereto, successor owners of record and their heirs, assigns, and lessees, and upon successor
municipal authorities of the CITY and successor municipalities for a period of five (5) years from
the date of execution hereof, and any extended time agreed to by written amendment to this
Agreement.
15. Amendment. This Agreement may only be amended by written instrument executed by all parties
hereto.
16. Notice and Default. Before any failure of any party to this Agreement to perform its obligations
under this Agreement shall be deemed to be a breach of this Agreement, the party alleging the
breach shall provide notice to the party alleged to be in default specifying the nature of said default,
and thirty (30) days elapses from the receipt of said default notice without the default being cured.

17. Ordinance Changes. Except as otherwise specified herein, all ordinances of the CITY and other
applicable jurisdictions as amended fi•om time to time or modified per the IDD approval shall apply
to the Subject Property, C601 and all successors and assigns in title. To the extent that the CITY
ordinances and design requirements conflict with the improvements described in the Plans, the
Plans shall be considered to control and supersede and supplant all ordinances and codes of the
CITY which might conflict with the Plans.
18. Acquisition Contingences C601 asserts that as of the execution date of this Agreement, C601 is
not the owner, but is the contract purchaser of the Subject Property and in order for C601 to
undertake the obligations to be performed by C601 as set forth in this Agreement, C601 must
complete the purchase of the Subject Property and be the fee simple owner of the Subject Property.
Accordingly, C601's rights and obligations under this Agreement are contingent upon C601's
acquisition of the fee simple interest in the Subject Property. Upon written notice from C601 to the
CITY that C601 will not acquire the fee simple interest in the Subject Property and request to
terminate this Agreement, this Agreement and all obligations and liabilities hereunder shall so
terminate and be null and void and of no further force and effect. Upon C601's acquisition of fee
title to the Subject Property, C601 shall provide the CITY with written notice of its acquisition of
the Subject Property.

TAXES FOR THE PURPOSE OF PAYING THE COST OF PROVIDING SPECIAL SERVICES
IN AND FOR SUCH AREA IF THE PROPERTY OWNERS FAIL TO PROVIDE SAID
SERVICES.
ORDINANCE NO 21-
AN ORDINANCE PROPOSING THE ESTABLISHMENT OF A BACKUP SPECIAL SERVICE AREA #12
IN THE CITY OF MCHENRY, MCHENRY COUNTY, ILLINOIS, AND TO LEVY TAXES FOR THE
PURPOSE OF PAYING THE COST OF PROVIDING SPECIAL SERVICES IN AND FOR SUCH AREA IF
THE PROPERTY OWNERS FAIL TO PROVIDE SAID SERVICES.
WHEREAS, the City of McHenry, McHenry County, Illinois, is a home rule municipality as
contemplated under Article VII, Section 6, of the Constitution of the State of Illinois, and the
passage of this Ordinance constitutes an exercise of the City's home rule powers and functions
as granted in the Constitution of the State of Illinois; and
WHEREAS, the constitutional authority for home rule powers is set forth in Article VII,
Section 6, of the Constitution of the State of Illinois in force July 1, 1971, which provides in
relevant part as follows:
§6. Powers of Home Rule Units.
Except as limited by this Section, a home rule unit may exercise any power and perform
any function pertaining to its government affairs including, but not limited to, the power
to regulate for the protection of the public health, safety, morals and welfare; to license;
to tax; and to incur debt.
WHEREAS, special space areas are established pursuant to the provisions of the "Special
Service Area Tax Law", 351LCS 200/27-35, as amended, and pursuant to the Revenue Act of 1939
of the State of Illinois, as amended; and
WHEREAS, it is in the public interest that the establishment of the area hereinafter
described as a backup special service area for the purpose set forth herein be considered (the
"Area"); and
WHEREAS, the Area is compact and contiguous and is totally within the corporate limits
of the City of McHenry, McHenry County, Illinois (the "City"); and
WHEREAS, Continental 601 Fund I.I.C. (the "Contract Purchaser") is under contract to
purchase the property known as Lot 1 of the Final Plat of Subdivision of Authentix at McHenry,
which has been annexed to the City, which said property is located on the property legally
described in "EXHIBIT A", attached hereto and incorporated by reference; and
WHEREAS, Vantage McHenry Holdings, I.I.C. (the "Owner") or its successors and assigns
may develop land Known as Lot 2 of the Final Plat of Subdivision of Authentix at McHenry legally
described in EXHIBIT A; and
WHEREAS, the Contract Purchaser is proposing to construct a storm water detention
basin ("Stormwater Facilities") located at the north end of said Lot 1 which shall also service said
Lot 2 for future development, as identified in the Stormwater Management Report (the
"Stormwater Report") dated March 25, 2021 by V3 Company attached hereto as "EXHIBIT B
and
WHEREAS, maintenance of the Stormwater Facilities by the City are special services which
may lawfully be paid from additional taxes upon the Area; and
WHEREAS, the City intends that the Stormwater Facilities be maintained in good working
order, subject to availability of sufficient funds from the Taxes (as hereinafter defined); and
WHEREAS, the City intends that the Taxes (as hereinafter defined) be set aside as a
reserve fund as a backup method of financing for the purpose of reconstructing, replacing,
rehabilitating, reconfiguring, and improving the Stormwater Facilities in the event that the
Contract Purchaser and the Owner or their successors and assigns fail to maintain said
Stormwater Facilities and thirty (30) days' notice has been given to the property owner(s); and
WHEREAS, the Area will benefit specifically from the special services to be provided (the
"Services") and the Services are unique and in addition to municipal services provided to the City
as a whole, and it is, therefore, in the best interests of the City that the establishment of the Area
be considered; and
WHEREAS, it is in the public interest that taxes be levied by the City at a rate or amount
of tax sufficient to provide revenues required for the purpose of paying the cost of provided the
Services (the "Taxes"); and
WHEREAS, an annual tax shall be levied upon all taxable property with the Area from time
to time, as determined by the Mayor and City Council, in an amount to be determined of the
value as equalized or assessed by the McHenry County Assessor's Office of all taxable property
in the Area, which shall not exceed 0.25% of the equalized or assessed value of the Area, in
addition to all other taxes permitted by law. Said Taxes shall not exceed more than $10,000.00
for the initial year for which Taxes would be levied.
NOW, THEREFORE, BE IT ORDAINED BY THE MAYOR AND CITY COUNCIL OF THE CITY OF
MCHENRY, MCHENRY COUNTY, ILLINOISI AS FOLLOWS:
SECTION 1: That the preambles of this ordinance are hereby incorporated into this text
as if set out herein in full.
SECTION 2: That a Public Hearing shall be held at 7:00 p.m. on 2021,
at the McHenry Municipal Building, 333 South Green Street, McHenry, Illinois (the "Hearing") to
consider the establishment of the Area in the territory, and for the purpose of providing the
Services, as full described in the Notice of Public Hearing set forth in Section 4 hereof (the
"Notice"), and to consider the tax levy described in the Notice.
SECTION 3: That notice of the Hearing shall be given by publication and mailing. Notice
by publication shall be given by publication at least once not less than thirty (30) days prior to
the Hearing on , 2021 in the Northwest Heard, the same being a newspaper having
a general circulation within the City. Notice by mailing shall be given by depositing the Notice in
the United States mail addressed to the person or persons in whose name the general taxes for
the last preceding year were paid on each lot, block, tract, or parcel of land lying within the Area.
The Notice shall be mailed not less than ten (10) days prior to the time set for the Hearing. In the
even taxes for the last preceding year were not paid, the Notice shall be sent to the person last
listed on the tax rolls prior to that year as the owner of said property.
SECTION 4: That the Notice shall be in substantial conformance with the following form:

2 IN COLOMER SUBDIVISION, BEING A SUBDIVISION OF PART OF SAID SOUTHEAST QUARTER ACCORDING
TO THE PLAT THEREOF, RECORDED JUNE 11 1998 AS DOCUMENT NO. 98R00033676; THENCE NORTH 0
DEGREES 06 MINUTES 45 SECONDS EAST ALONG THE EAST LINE OF SAID LOT 2 AND THE EAST LINE OF
THE PROPERTY DESCRIBED IN SAID DOCUMENT NO. 98R00052114, A DISTANCE OF 507.00 FEET TO THE
PLACE OF BEGINNING, IN MCHENRY COUNTY, ILLINOIS.
An accurate map of said territory is on file in the Office of the City Clerk of said City and is
available for public inspection.
The permanent tax index numbers of each parcel located within the proposed special
service area are 09-23-400-004 and 09-23-400-031 and the property consists of Lots 1 and 2 of
the Authentix at McHenry subdivision. The proposed special service area is located east of Route
31 and east, north and south of Blake Boulevard.
The purpose of the establishment of said Special Service Area #12 is to provide a backup
method of financing special services to said Special Service Area, including all costs of operation,
upkeep, maintenance, repair, replacement, alteration, safekeeping and improvement of the
Stormwater Facilities, in the event the property owner(s) or their successors and assigns fail to
maintain said Stormwater Facilities within 30 days of a written request by the City to undertake
and complete such operation, upkeep, maintenance, repair, replacement, alteration,
safekeeping and improvement of the Stormwater Facilities (the "special services"), as the case
may be, in the City's sole discretion without the obligation to do so. Time is of the essence.
The City shall provide written notice to the owners) of record within the Area of any
failures or deficiencies associated with the Stormwater Facilities and such owners) shall have a
30-day period for undertaking such operational changes, upkeep, maintain, repair, replaces or
alter or improve the Stormwater Facilities as set forth in the City's notice. Unless emergency
circumstances exist, the City shall wait 30 days' time from the date of its notice before the City
undertakes such corrective action.
The nature of the proposed special services within the proposed special service area is for
new construction and maintenance. Funds received from the proposed special service area by
the City may be used by the City or its designated contractor to pay for the special services.
At the hearing, there will be considered a special service area tax levy from time to time,
as determined by the Mayor and City Council, and an annual tax for providing such special
services in Special Service Area #12, in an amount to not to exceed 0.25% of the assessed value
of the Area — per annum. The maximum rate of taxes to be extended within the proposed special
service area in any year would not exceed 0.25% of the assessed value of the taxable real
property within the Area and the term of the proposed special service area would be perpetual,
with no maximum term or number of years, if the proposed special service area is established.
The proposed amount of the tax levy for special services for the initial year for which taxes would
be levied would be no more than $10,000.
All interested persons affected by the establishment of said Special Service Area #12 and
the levy of said tax, including all owners of real estate located within said Special Service Area,
will be given an opportunity to be heard at said hearing regarding the proposed establishment of
said backup Special Service Area and the levy of said tax and an opportunity to file objections to
the proposed establishment of said backup Special Service Area and the levy of said tax and the
amount thereof.
At said public hearing, any interested persons affected by said proposed back up Special
Service Area may file with the City Clerk of said City written objections to and may be heard orally
in respect to any issues embodied in this notice. The Mayor and City Council of said City shall hear
and determine all protests and objections at said hearing, and said hearing may be adjourned to
another date without further notice other than a motion to be entered upon the minutes fixing
the time and place of its adjournment.
If a petition signed by at least 51% of the electors residing within said Special Service Area
#12 and by at least 51% of the owners of record of the land included within the boundaries of
said Special Service Area #12 is filed with the City Clerk of said City within 60 days following the
final adjournment of said public hearing objecting to the creation of said Special Service Area
#12, the levy or imposition of a tax for the provision of special services to said Special Service
Area #12, or to a proposed increase in the tax rate, no such backup Special Service Area #12 may
be created, or tax may be levied or imposed nor rate increased.
