INTERGOVERNMENTAL AGREEMENT BETWEEN THE MCHENRY TOWNSHIP
ROAD DISTRICT AND THE CITY OF MCHENRY
This contract is entered into the effective date hereof,between the McHenry Township Road,
District, McHenry County, Illinois, a unit of local government(hereinafter referred to as"the
Road District") and the City of McHenry, a unit of local government(hereinafter referred to as
("the City").
WHEREAS, Articles VII, Section 10 of the 1970 constitution of the State of Illinois authorizes
units of local government to contract with one another to obtain or share services in any manner
not prohibited by law; and
WHEREAS,the Highway Commissioner of the Road District and City,through its Mayor and
City Council, find that is in the mutual interest of their citizens that the City and the Road
District contract with each other for the exchange of services hereafter set forth.
NOW, THEREFORE, for and in consideration of the premises, the mutual advantages to be
derived there from and in consideration of the mutual covenants herein contained,it is agreed by
and between the Road District and the City as follows:
1. Services to be provided by the Road District for the City:
See attached Sheet A and C
2. Services to be provided by the City for the Road District:
See attached Sheet B
3. Terms of Contract
This agreement shall continue in force as amended, subject to written notice of
termination by either party. To be effective, such notice must be delivered at least 30
days prior to effective date of termination of this agreement.
4. Participation in meetings with Road District
The City agrees that its representation will, from time to time as requested by the Road
District,participate in meetings or conferences with the Highway Commissioner or his
representative thereof designed to further the services provided for herein, or to resolve
any differences arising between the parties in connection with implementation of the
services requested or performed.
5. Indemnification by City
The City agrees that the Road District and those Road District officials, employees and
agents who become engaged in providing services for the City pursuant to this
Agreement are the servants, agents and employees of the City during the time that they
are so engaged, and City agrees to indemnify and hold harmless the Road District and
such persons from any and all liabilities, damages, and claims for damages to real and
personal property and for injury or death suffered by such persons and by any third party
or persons during the time that work is being provided pursuant to the Agreement.
6. Indemnification by Township
The Road District agrees that the City and those City officials,employees and agents who
become engaged in providing services for the Road District pursuant to this Agreement
are the servants, agents, and employees of the Road District during the time that they are
so engaged,and Road District agrees to indemnify and hold harmless the City and such
persons from any and all liabilities, damages, and claims for damages to real and personal
property and for injury or death suffered by such persons and by any third party or person
during the time that work is being provided pursuant to this Agreement.
7. Amendment or Termination
This contract may not be amended or terminated except with the mutual agreement of the
parties hereto by an instrument in writing expressly referring hereto and signed by the
parties.
8. Prior Agreements
All Agreements previously made between the parties for any purpose whatsoever are
hereby terminated.
9. Notice
The notices hereunder may be personally delivered or sent by registered or certified mail,
return receipt requested. The date of such notice shall be deemed the date of receipt.

The City will provide the Road Distract with an updated list of roads to be striped
by June 1st of each year.
The Road District will provide the City with an updated Intergovernmental
Agreement fee schedule prior to commencing with paint striping.

("the City").

THIS AGREEMENT is made and entered into this__,�ay of McHenry'
2002,by and between the City of McHenry, an Illinois municipal-corporation ( C y },
Township Road District,a unit of local government(the"District"),and McHenry County,an Illinois
municipal corporation("County").
RECITALS
A. The Illinois Intergovernmental Cooperation Act(5 ILCS 220/1 et seq.) authorizes units of
ental service, activity or undertaking which any
local government to perform any governm
unit of local government is authorized by law to perform.
B. It is in the mutual best interest of the Parties hereto to enter into this Agreement and
undertake and perform the obligations herein provided.

C. The County is the owner of certain property which it would like to convey to the City.
D. The County currently has jurisdictional control over River Road between State Route 120
and the Chapel Hill Road connector.
E. The County currently has jurisdictional control over the Chapel Hill connector road from the
Chapel Hill Road connector(south end)to Chapel Hill Road(north end).
F. It is the desire of the Parties to (1) transfer jurisdictional control from the County to the
District over River Road between State Route 120 and the Chapel Hill Road connector;(2)
for the District to assume snow plowing responsibility for River Road and Lincoln Road
from the Chapel Hill Road connector(south end)to Chapel Hill Road(north end); and (3)
for the City to assume snow plowing responsibility for certain streets within the jurisdiction
of the District.
NOW THEREFORE, it is hereby mutually agreed by and between the City, District and
County as follows:
1. County Conveyce of Title to City. Within 30 days of executing this Agreement, the

County shall convey all of its right,title and interest to 8.5 acres of land on Green Street to
the City, legally described in Exhibit A, attached hereto. This conveyance shall. be by
warranty deed and title shall be free from encumbrances as evidenced by title insurance paid
for the by City.

2 ('aunty Conveyance of River Road 3urisdiction to District. The County hereby transfers to
the District all of its jurisdictional control of River Road between State Road IZO and the
Chapel Hill Road connector, as depicted on the attached Exhibit B and identified as
"Jurisdictional Transfer from County to District. Before transferring s x

sewer system from the Chapel Hill Road connector(south end)to Route 120. At the time
of cleaning,the County and District will have Smith Engineering onsite to document the
cleaning and the configuration of the existing storm sewer system. The County shall add this
section of River Road to its 2002'resurfacing contract, which will include full-depth ;
to resurfacing at locations mutually agreed to by the
pavement repairs to the roadway prior

District and County. Prior to resurfacing said roadway, the County, at its expense, will ;
provide curb and gutter repairs in those areas surrounding all stone sewer inlets and other
locations in need of repair.
3. District's Snow Plowing Responsibility. The District hereby assumes snow plowing
responsibility only for that part of River Road,north of Route 120,and Lincoln Road from
its connection to River Road on the south to Chapel Hill Road on the east, as depicted on
Exhibit B and identified in green color.as"District's Snow Plowing Responsibility."

only for the following District streets: Delore Drive,Elmktrk,Emily Lane, Geneva Lane,
Mary Lane,Maryville Road,Mourine Lane and River Road between Emily Lane and Mary
Lane. These streets are depicted on Exhibit B and identified in orange color as"City's Snow
Plowing Responsibility."
5. This Agreement shall continue in force until it is rendered moot by any future annexation of
relevant portions of River Road into the City.
6. All notices,demands and requests required or permitted hereunder shall be in writing and
stage prepaid,return receipt requested,addressed as
